Please find attached a revised draft of the engagement letter. There are a few
open items we would like to discuss at your convenience:
1. We have quoted a transaction fee of 1.00% of aggregate consideration. We
have a most favored nations clause with another bank on this process and in
order to honor it, the fee cannot be less than the quoted number.
2. We have also quoted a minimum fee of 15mm. Given where we think the
likely valuation range is for the asset, we believe this is appropriate.
3. The tail period provision remains outstanding. As you know, we typically
look for a 12 month tail on an exclusive engagement. In this instance,
based on our good relationship, we are will to go to 6 months.
Appreciate your willingness to work with us on these terms, and we are
enthusiastic about the opportunity to work on this potential transaction.
