As a follow up to our conversation yesterday and at Frank's request. I have
summarized a few slides that depict a potential strategic relationship. Our ask
was to have exclusivity to pursue a partnership that would create unique valve
between our organizations on a go-forward. In return for an exclusive period of
90 days, we would be willing to do the following:
•   A payment of $5M upfront non-refundable
•   A commitment for 25K new SIVA merchants in 2018 (FD to drive through
     its multiple distribution points). This represents nearly S100M in new GP based
     on our internal calculations for terminals sold in this channel
•    Commit to open up the JPMC relationship for SIVA once a contract is
     executed
•    Commit to open up the Wells relationship (pending WF approval) for SIVA
     once a contract is signed
In retum we would ask for exclusive negotiation period on three key items below
•    Ability to review the Card Connect business and at FD's option make an
     offer for that entity at terms mutually agreeable based on DD
•   Resell agreement that aligns economics, drives new partnership revenue with
     terms similar to or better than the current day Card Connect (CC) contract
•   Buy rate to be reduced into be lowered once the total portfolio reaches certain
     revenue / profit thresholds
