They don't care. The rev target this year carries very little risk now at this point. I doubt we will even be asked to do anything from a cost perspective.

Paya (F/K/A Sage Payment Solutions) requires that we complete the attached W-8BEN-E as Shift4 Payments, Inc. is a foreign entity. Please note, a W-8BEN-E was previously provided in 2018, it has since expired so a new one is due.

I completed the majority. Can you please review and confirm the following information before signing: • Part 1, Line 9b - The U.S. TIN is that of TopCo, please confirm (Page 1) I believe the above to be accurate, but please do confirm for good measure. I have also highlighted the signature and data fields for convenience. Please sign and return once you have confirmed.

Thank you,

Think we should drop requirement for term upon renewal. Merchants hate it on redlines. We can always threaten termination for convenience and achieve I he same protection, Just ran into snother

It's really at a point where it doesn't matter. Fiserv isn't going to do anything and at least this way, cardconnect goes down swinging.

Ok. I will get them on this. I think there are just many competing priorities right now.

For example, did you see the 3d printing email on inspiration4. The dragon capsule has 170 3d printed parts... and we are paying for it all. Doesn't that seem pretty important to promote? We certainly aren't going to wait until it completed.

  4. With respect to the CARES Act Payroll Tax Credits, we are seeking to claim credits for the employee retention credit. The employee retention credit is a refundable tax credit against certain employment taxes equal to 50% of the qualified wages an eligible employer pays to employees after March 12, 2020, and before January 1, 2021. An eligible employer is any employer carrying on a trade or business during calendar year 2020, including a tax-exempt organization, that fully or partially suspends operation during any calendar quarter in 2020 due to orders from an appropriate governmental authority limiting commerce, travel, or group meetings (for commercial, social, religious, or other purposes) due to COVID-19.

I am working through PA tax return matters; during my review, I noticed that the PA REV-635 reports reference "Shift4 Payments, Inc.". I know we haven't had a legal entity name change so this doesn't have any impact, but should the form say "Lighthouse Network, Inc." to match the legal name, reference "Shift4 Payments, Inc." as the D/B/A, or is it okay as is?

End of Exhibits Key observations and summary, relating back to the legal context: * Jared Isaacman's Tone: The messages show Isaacman's perspective on the CardConnect relationship, often dismissive of Fiserv's concerns and seeming focused on Shift4's own priorities (like Inspiration4). * Inspiration4 Mentions: The repeated mentions of Inspiration4, even in seemingly unrelated business discussions, support any argument using these exhibits, on distraction or competing priorities. * Business Operations: Some messages raise significant operational issues (e.g., backlog of customers not being brought live, settlement file processing delays). *Text messages formed a normal part of business record.

The above exhibits provide a direct, unedited view, including theoretical'd text, of the requested material and all related files to text messages and Inspiration4.
