We've held off responding to your emails and texts as we've processed what to do with this 2016 IP. It's difficult to understand how Shift4 has come full circle to use someone else's IP and claim it as your own. As a reseller, you not only knew of this technology, but you championed its use.
As mentioned in a previous email, your recent press release and other releases are in direct violation of this IP, which we own, including its use on a multitude of levels. You've promoted this software and its capabilities, and now you use it and say that you're a disrupter in the marketplace.
We have given you various proposals with the intent of resolving this matter before heading down an uglier path. You have rejected not only our offers, but refused to make any counter offer. Instead, each proposal gets further and further away from reality. You have attempted to re-cast the original Settlement Agreement, the 2016 Asset Purchase Agreement, and most everything else that we agreed to with Shift4. Please restate what your official position is so that we can resolve this matter quickly. I have also left you a couple of voicemails with no response back from you. I have several questions based on the term sheet you sent, so I need to address those with Shift4 and my partners first. We all have to be aligned that this term sheet settles all current and future claims, so we'll likely include a provision that this payment covers everything and anything, whether it's been disclosed or undisclosed.
As an initial reaction, with my partners, the response so far isn't good from the feedback I'm receiving. However, I want to talk with Shift4 first before opining further. I'll provide you additional feedback after l've had a chance to discuss it with them, which may be on Monday.
What is your schedule on Monday to hold a call? And what are some times you can reach Jared? Although Jared has left Shift4, he's still on your board as Shift4's representative, so I've included him in this email for clarity (he's also the one that created the original model, so it's critical that we speak with him, too). I also believe that you and Jared have a call tomorrow, which would be helpful to have happened before we meet to discuss things.
Shift4 has been using our IP for a significant amount of time, and we've been waiting for some indication that you wanted to resolve this matter amicably, but it appears that you haven't placed much value on it, which is why we had to resort to litigation. Instead, we should all be working together, not against each other.
