the residuals. That was the whole premise of the conversation last week.

Exhibit A of Document 333-1 (Reply Declaration of J. Isaacman ISO Defs' Opp. To Plttfs' Motion for SJ) Contains Information about falsifying:

  1. I recall a conversation with Mr. Oder in 2015 in which I told Mr. Oder that Shift4 was going to move 57 of its merchants off of CardConnect's processing platform' Mr. Oder responded in words or substance "you can't do that." I do not recall additional details of this Conversation-

  2. I do not recall a specific conversation with Card Connect's CEO about falsifuing documents, but am aware from my review of documents produced in discovery that Card Connect has accused me of falsifuing documents.

  3. Based on text messages produced during discovery, it appears that I discussed with Mr. Oder an email that had what appeared to be an electronic signature of mine that I believed was fraudulent.

  4. I likely told Mr. Oder during a telephone conversation that I did not sign a document and that CardConnect must have forged or falsified my signature on an amendment' I do' not believe the topic required an in-person conversation.

23 . The Independent Contractor Agreement also states that " [w]ith the exception of merchants referred to [Shift4 Payments] by another sales representative of [CardConnect], all fees for approved and boarded merchants that [Shift4 Payments] submits to [CardConnect] after the effective date of this Agreement and any extensions hereof, for so long as those merchants are processing on [CardConnect' s] service, shall be subject to the compensation arrangements outlined." (Ex. A, 119(c).) 24 . In a subsequent conference call witl1 Mr. Isaacman regarding the Independent Contractor Agreement, he indicated to me by saying words to the effect of, "I guess I'm going to have to falsify documents in order to move some of the merchants," or words to that effect. 25. I clearly understood Mr. Isaacman to mean that he was going to take steps to circumvent CardConnect's contractual right to maintain these merchants on its system because he wanted Shift4 Payments to receive the revenue that was properly due and owing to CardConnect for those merchants.

27 During this call, Mr. Isaacman acknowledged that he was required to submit Harbortouch merchants to CardConnect. 28 Mr . Isaacman nonetheless informed me that he had switched at least.fifty-seven (57) Harbortouch merchants (the "57 Merchants") that were processing on Vantiv, Inc. ("Vantiv")-and that should have gone to CardConnect-over to another processor, Elavon, Inc. ("Elavon") instead. 29 . Mr. Isaacman acknowledged during the discussion that the act of moving the 57 Merchants to Elavon violated the tenns of the Harbortouch Agreement.
