Im sure that you are already on top of this, but I just learned about this case this week. I spent about an hour
quickly going through all of the documents, and I did not see anything related to communications with us since the

not read at all.

I also did not see anything about specific damages. I only saw references to damages according to proof. Can you
enlighten me on what is being claimed in the way of damages?

I just want to make sure that we are involved to whatever extent we need to be.

I just left you a vmail message. I wanted to give you an update as to where things stand.

First, we have been meeting with J.D. and his team to get a full command of the underlying facts. Second, we have
just about completed our initial draft of the answer, affirmative defenses, and counterclaims. We plan to file those
pleadings tomorrow. The counterclaim will be filed against CardConnect, LLC, and, we believe, against First
Data Merchant Services Corporation as a necessary or indispensable party. I can provide a copy of the pleading to
you in advance if you like.

Although a bit premature, we have already begun to think about what we will need by way of document

As you know, we filed a lawsuit a while back when we were still going to acquire
CardConnect. In that lawsuit we stated that we wanted to terminate the agreement
because of covenant breaches and the fact that CardConnect failed to get Shift4's
consent before engaging in certain business activities.

After FDC bought you, we amended the lawsuit to claim damages based on the same
conduct and additional conduct. I know you are getting up to speed, so I thought a
call would be helpful. Shift4s lawyer in MN is Randy Koven.
