I agree with your comment "I can't imagine you want any additional distractions as you prepare for The Project". Project
deadline and all hands on deck is my top priority...therefore will certainly support whatever provides the least distractions
so we hit it out of the park.
I think we have a very simple and clear understanding that Shift4 should have 5 years (from go llve) 10 enjoy the
economics of a 82B relationship ...regardless 01 how it is labeled (reseller, referral, schedule A, elc) or structured
(merchant app/underwriting, batch submission, etc)

Randy,
Attached is the revised reseller agreement redline as of 3PM EST today. As you can see, there are just
a handful of outstanding items. 1) This week we completed certifications to support Discover and
Amex OptBlue on your platform. There is some new text at the top that addresses certifications to
support card brands. 2) We reduced the ongoing support fee from $50k per month to $25k as this
more accurately reflects the responsibilities, commitments and value-add. This should also remove
any concerns from either party of "showing our cards" during the diligence process as mentioned
previously. 3) We also replaced some "shall's" with "may's" in terms of new products and services.
As I am sure you guys are working in overdrive to eliminate all distractions at the Card Connect
level before "The Project" kicks off, please know we aim to do the same. Please advise if anything
else is needed on our end.
Best Regards,

jered,
Thanks for the update. My comment around eliminating distractions at Card Connect in advance of the project did not
relate to the open items on this agreement. I was simply stating that you have my commitment that we will address
your open items on a timely basis.
We will review and be back in touch.
Thanks
Randy

Sam,
Can you clarify this comment for me? I was not aware that we had ORC as a supported processor on Card Connect. I know we're
supposed to be "working any remaining items that may slow down the sale of Card Connect - aka 'The Project'’ but was not
aware of this development. Thought we supported TSYS and FD Omaha.
Please advise.
Thanks!
Brian

Brian,
From what I see in my email, the ORC format was the last processor message format
outstanding, all others were complete and ready to go.
Thanks.

399. On information and belief, Fiserv was concerned that Shift4 might use
information obtained through the due diligence process to compete against CardConnect.
400. Fiserv's concems were well-founded, on July 13, 2020, Shift4 announced that it would
begin offering end-to-end payment processing, directly taking on Fiserv and CardConnect,

attributable to its new end-to-end offering, including the San Diego Padres, the Baltimore

its superior technology (based in part on the due diligence it received during its attempt to acquire
