Re: Notice of Breach of Non-Solicitation Obligations

Dear [Redacted], It has come to our attention that Shift4 Payments ("Shift4") and/or its employees or agents have violated the non-solicitation obligations set forth in the Amended and Restated Merchant Referral Agreement between Card Connect, LLC("CardConnect") and Shift4, dated December 31, 2015, as amended, and/or the Merchant Referral Partner Agreement between CardConnect and Shift4, dated August 31,2017, as amended (collectively, the "Agreements'). Specifically, in April 2020, Taylor Oder emailed regarding processing. Shift4 employee, Nate Hirsch, was copied on this email.

Further, on June 7, 2021, CardConnect learned that Shift4 was processing for the merchant International Protective Services (IPS). This is a merchant that was processing with CardConnect prior to June 7, 2021, in violation of your non-solicitation obligations.

The Agreements obligate Shift4 to pay liquidated damages in the amount of two times (2x) the monthly residual revenue of an impermissibly solicited merchant multiplied by the lower of (i) the number of months remaining in the then-current term, or (ii) 24.

Accordingly, CardConnect demands that Shift4 cease all solicitation in violation of the Agreements. CardConnect also put Shift4 on notice that effective on June 7, 2021, it declared a partial termination of the Agreements.

Although CardConnect is willing to engage in settlement discussions to resolve our differences, be advised CardConnect is prepared to pursue all available legal remedies, including but not limited to injunctive relief and the recovery of damages, attomeys' fees and costs.
