1. Nature of Business and Basis of Presentation
Nature of the Business
Shift4 Payments, Inc. (the "Company") is a holding company, incorporated on
June 5, 2017 in the State of Delaware. The principal asset of the Company is a
controlling equity interest in Shift4 Payments, LLC ("Shift4 LLC"). The Company
operates and controls all of the business and affairs and consolidATES THE

Prior to the reorganization, described below, the equity interests of Shift4
LLC were owned by Searchlight Capital II PV, L.P, ("Searchlight"), J.D. Dahe
(the "Founder"), and certain members of management. On November 27, 2017,
Searchlight and the Founder contributed their Class A Units in Shift4 Payments
LLC to the Company in return for Class A common stock ("Rocker Class A Common
Stock") and Class C common stock ("Rocker Class C Common Stock").
Rocker Class A shareholders are entitled to one vote per share while Rocker
Class C shareholders are entitled to ten votes per share. On November 27, 2019,
the Company amended and restated the certificate of incorporation to reclassify
Class A Common Stock and Class C Common Stock as Class B common stock and Class
C common stock.
On November 27, 2017, Shift4 Payments, LLC issued $5,000 Class B Units to
certain option holders of Shift4 Payments, LLC. On March 1, 2018 Shift4 Payments
LLC issued an additional 19,756 Class B Units to certain members of management

Collectively, these transactions are referred to as the "Reorganization." There
was no accounting impact of the reorganization on the financial statements.
