Jared,
Per the reseller agreement with CardConnect, the Shawspring software and program must
terminate on 8/1/20. As of 10/1/20 (end of exclusivity period), CardConnect and Fiserv have first
rights to resell any software or program created by Shift4 outside of the reseller channel.
I believe the best approach here is to prepare a formal notification to Fiserv that effective 8/1/20,
we will terminate the sale of Shawspring software. However, we will continue to service all
existing Shawspring merchants. Effective, 10/1/2020, Shift4, through its Harbortouch brand,
will begin to sell SkyTab POS and SkyTab POS Lite (rebranded Shawspring software). This
gives Fiserv 60 days to determine if they choose to exercise their rights to resell SkyTab POS.
Given we are rebranding the software under the Harbortouch brand and launching a POS
system, I really don’t see how they have many options. If Fiserv chooses not to resell it, we’ll
know pretty quickly and can bring it to market 10/1. If they choose to resell it, fine. They won’t
do it for very long.
I will send a letter to Fiserv tomorrow outlining the above in a more formal fashion.

As a follow up to our conversations, please see my email below. I also left you a voice mail this
afternoon. When CardConnect acquired BluePay, the BluePay reseller agreement had a preferred
processor clause within the Payment’s Hub ASA. I have attached the ASA for your review as well.
The verbiage is below:
Preferred Processor. During the term of this Agreement, Merchant agrees that
CardConnect shall be the preferred provider of all Payment Processing
Services for the Territory, and that Merchant shall not directly or indirectly
utilize any Third Party for Payment Processing Services without the prior
consent of CardConnect.
