I, J. Rockett Maeder, declare under penalty of perjury that the following is true and correct:

  1. I am over eighteen (18) years of age, and I am competent to make this Declaration. I make the following statements based on my personal knowledge.
  2. I am one of the founders of Defendant, Shift4 Payments, LLC, and I currently serve as its Chief Executive Officer. I have held that title since on or around November 6, 2017. Prior thereto, I was Chief Executive Officer and President of Shift4 Corporation, which was recently renamed Shift4 Payments, LLC.
  3. This Declaration is made in support of Defendant's Opposition to Plaintiff s Motion for Preliminary Injunction. The Name "Shift4"
  4. I was personally involved in coining the name "Shift4" as the trade name for Defendant on or around 1996. The name was based on a suggestion from an employee who was an avid computer user. He suggested that to bypass all keys or requests on an older computer, one had to hold down the shift key and press the "4" key, so he suggested naming the company "Shift 4." Based on the foregoing, the name "Shift4" has always been written and presented as one word with

the'S" in "Shift" and the "4" capitalized. The mark has been continuously registered and/or used by Defendant since 1999. Steganography and the Passwords at Issue 5. I was one of the individuals at Shift4 who originally created the steganography program that enabled the concealment of data within a JPEG image. I developed the system in or around 2002. 6. I also wrote the algorithm that creates the passwords needed to unlock a JPEG image that has is embedded with encrypted messaging. Attached hereto as Exhibit A is a true and correct copy of an email exchange between [REDACTED] in connection with the creation of the Stego Passwords/Keys at issue (the "Stego Passwords/Keys"). Attached hereto and marked as Exhibit B are true and correct copies of a second email exchange on June 14, 2011, regarding revisions/updates to the Stego Passwords/Keys. 7. The purpose of this steganography program was for internal use. Specifically, Shift4's then-Vice President of Sales requested that I help develop a tool for certain Shift4 salespeople (including [REDACTED] by our sales team to lock customer pricing, so that third parties could not interfere with Shift4's contracts with customers. This was necessary to prevent competitors from encouraging customers to breach their contracts with Shift4. 8. The Stego Passwords/Keys were created by taking a starting password seed and then calculating a series of unique passwords. This enabled Shift4 salesperson to lock a file with their unique key, but also allowed Shift4 executives to unlock files at any time. 9. Attached hereto as Exhibit C are true and correct copies of representative SMS text messages I sent to [REDACTED] between August 23, 2008, and November 6, 2017, in which I sent him the following messages:

Taylor  I spoke to my Dad about this a little. He had some suggestions that I think are worth considering.

I think there are several terms in this letter that are unreasonable (or at least very one-sided) and we shouldnt
agree to them without some changes because the worst case is we end up back here anyway in 90-days. I
think it is almost inevitable we are back here in 90-days, but it would still be worthwhile to put in some effort to
make some changes while we still have some negotiation leverage. You need to make the call.

Im sure there are many other terms, but some that immediately jump out include:

     I would not sign anything that has a fixed term. It is very dangerous for all the reasons we have spent the
      last many months discussing, which is that we have a business that cannot be easily unwound with 30-
      days notice. I would only sign something that renews every 30-days unless either party cancels.
     They are saying the merchants belong to them, which is fine. But they are also saying that merchants
      include former merchants and even prospective merchants. I do not agree with this as it pertains to
      prospective merchants (so any lead we are working we would have to stop if the deal is terminated) and I
      dont even know what a former merchant means. Im sure we have former-former merchants so if we
      sign this, the merchants who left Shift4 two years ago to go to First Data are now off limits because they
      are former? How long does former last?
     No solicitation of employees for 18 months.my Dad said to counter the whole agreement with 3 years
      (non-solicit of customers and employees). This is one of the most ridiculous requests in their letter. It is
      also probably not enforceable.

I think it is probably necessary to have some phone calls today as opposed to keep sending letters.
