I think it's best we share one more time, with complete clarity, that the only objective
of the Lighthouse product with Shift4/Fiserv/Oracle or any organization is to drive more
payment volume, increase yield or improve retention within out payment processing
portfolio. It is an extremely valuable tool to achieve those results.
Additionally, as we discussed, the product is alreadly live in 30,000+ restaurants and
fully integrated with a variety of systems that Fiserv (Micros/Simphony, Aloha, Positouch,
Dinerware, etc.) already supports. All the intellectual property, as it relates to its
ability to drive more revenue for Fiserv, is observable at any of those locations. As we
also discussed, we are not sharing source code with Fiserv, it is not for sale and
Lighthouse is not a product being used for any purpose that is inconsistent with out
agreement. It is just to drive more payment volume, improve yield and increase
retention which we do well.
In that spirit, you can take the answers below with a grain of salt as it is really just a
distraction from executing our plan.
1) What additional access, if any, does Shift 4 anticipate needing to either Card
Connect data to perform their obligations under the agreement - be specific, and
indicate also the reason why the access is needed.
A: In terms of data, at present, we need to deliver on our obligations of the
agreement, we require merchant boarding information to provision a location with
terminals and supporting software. We also get payment data, as we are the
payment gateway, so we can provide addition services (such as out of scope
breach reimbursement, PA-DSS support programs, etc.). We get what every VAR
and Payment Facilitator gets from Card Connect that is boarding and supporting
merchants on your platform.
2) Does Shift 4 expect to need access, now or in the future, to the details of the
Card Connect merchant portfolio (at a level below the MID - i.e. at the individual
merchant level)?
A: No.
3) Can Shift 4 perform their obligations under the current agreement with a
"snapshot" Oracle instance?
A: A snapshot of what? We have an instance of the payment gateway supporting
30,000+ Micros/Simphony/Aloha/Positouch/Dinerware and other systems. It's live
and in production. I don't think the question as it is written means anything.
4) If 'yes' to #3, can the "snapshot' instance include data from additional VARs,
MICS, Retail, and Payment Gateways? Why or why not - be specific.
A: Again, the questions doesn't mean anything. We have data from every possible
integration type, as they fully exist in production.
