I write regarding the meet-and-confer process on discovery disputes in the abovereferenced case, and I appreciate Shift4's agreement to provide a log as to its objections and privilege claims with respect to the discovery served on Mr. Oder by next week. We had a call onJune 17, 2021 to discuss what I understood were all of the objections you initially levisd to the Rule 45 subpoenas recently served on non-parties BlueSquare Resolutions ("BlueSquare") and Yaron Field. By letter dated June 18, 2021, you raised additional objections to the BlueSquare subpoena, and, in response, I write to advise that, with one exception, do not believe any have merit.
By way of recap, the non-party subpoenas were issued in an abundance of caution to preserve Card Connect's rights should a dispute arise as to whether the documents and communications are within the "possession, custody, ^d control" of Shift4 and/or Mr. Oder. Indeed, the BlueSquare subpoena was served only after Mr. Oder testified at his deposition that >he did not believe had any records relating to Shift4 or Card Connect in his possession, and suggested that we would need to seek them from BlueSquare.^ Mr. Field also testified at his. deposition that he did not believe his records relating to Shift4 or Card Connect in his possession and suggested that we would need to seek them from BlueSquare directly.^ Now, a week after our meet-and-confer (and despite Mr. Oder's and Mr. Field's testimoiy), you object to the BlueSquare subpoena to the extent it demands records "already in the possession of the Defendants."^ (Objection No. 1.)
We have no objection to producing documents obtained from BlueSquare, just as we have done already with respect to documents received from non-parties, such as Mr. Oder (Exhibit 10) and Verifone (Exhibit 9). To be certain of the status of any such documents, however, it would be helpftil for you infomi us whether it is Shift4's position that BlueSquare emails and other such records are within Shift4's or Mr. Oder's possession, custody, and control from a discovery standpoint. If that is Shift4's position, we understand Shift4 will not oppose our motion to compel! relating to the production of all BlueSquare data responsive to our document requests (and not just the subset of data Shift4 has elected to date to assemble, and to produce in discovery).
Next, you maintain that "BlueSquare is not in the possession of any non-public infonnation of Card Connect" that Mr. Oder obtained in violation of his restrictive covenants.^ To be clear, given the undisputed fact that BlueSquare has been working with Shift4 (at Mr. Oder's request) since at least April 2020, it is clear that BlueSquare possesses information improperly obtained from Card Connect by Mr. Oder (including product and pricing infonnation, as set forth in the materials attached as Exhibits 1 through 5 to Card Connect's brief in support of the preliminary injunction).
We know this because your client, Mr. Oder, testified that he obtained information from Card Connect while employed there (in breach of his covenants, and in violation of federal and state law), and he has since used that information improperly on behalf of Shift4. In addition, the information that was in Mr. Oder's possession has been provided to BlueSquare by Mr. Oder and Mr. Field for use by BlueSquare on behalf of Shift4 in the marketplace. In fact, Mr. Oder testified that he provided Card Connect infonnation to Mr. Field and BlueSquare, including infonnation relating to Card Connect's integration with Micros, and it is clear from the record that BlueSquare has been consulting for Shift4 (as evidenced by Exhibit B to the Oder
(Blue Square Resolutions, LLC. and J.D. Oder d/b/a/ >BlueSquare Resolutions Contract Proposals. 2020
)). You also claim that "Shift4 has produced all responsive communications between Mr. Oder and BlueSquare."^ As noted above, we do not object to producing documents received from BlueSquare, including communications (and we already have begun such a production). The issue is whether Shift4 will produce all communications (and related data) from BlueSquare to the extent it is within Shift4's control in the discovery sense. Again, whether Shift4 takes that. position will dictate whether that issue is included in our forthcoming motion to compel.^
You also assert that the BlueSquare subpoena "seeks to examine Yaron Field by subpoena," and, therefore, the subpoena is somehow improper as a result.^ That claim is meritless. Card Connect has attempted to obtain relevant information from Mr. Field by service of a document subpoena and a deposition subpoena duces tecum. As with the BlueSquare subpoena, that subpoena was served after Mr. Oder testified that he would need to get documents relating to his work with Shift4 from Mr. Field and BlueSquare.
Notably, at his deposition, Mr. Field refused, on the purported basis of Mr. Oder's (not Mr. Field's) Fifth Amendment privilege, to answer questions posed to him during his deposition,^ and refused to produce documents from his personal devices based on the same purported privilege assertion. As a result, we have been prejudiced in terms of learning the full extent of Mr. Field's and BlueSquare's relationship with Shift4, including the extent to which Mr. Oder, Mr. Field, and BlueSquare have used Card Connect's information to unfairly compete against Card Connect in violation of Mr. Oder's agreements and applicable law.
You further argue that the "subpoena is overbroad, seeks irrelevant information, and seeks information that is protected as attorney work product."^ Again, we disagree. The information sought is limited in time to the period of Mr. Oder's departure from Card Connect to the present and seeks information relating to the non-public information taken fi'om Card Connect by Mr. Oder and used by him, Mr. Field, and BlueSquare on behalf of Shift4.
