I, J.D. Oder II, declare under penalty of perjury pursuant to 28 U.S.C. § 1746 that the
following is true and correct:
1. I am over the age of 18 and if called as a witness, I could and would competently
testify to the matters set forth herein.
2.I am currently employed by a direct competitor to Shift4 Payments, LLC ("Shift4").
3. I was previously employed by Shift4 as a Territory Sales Manager from October 2020
through January 25, 2022.
4. In my role as a Territory Sales Manager, I was responsible for selling Shift4's
products and services directly to merchants and I reported directly to Ryan Burch.
5. I worked on a team with approximately ten (10) other Territory Sales Managers.
6.Prior to my employment with Shift4, I worked for Card Connect, LLC f/k/a
FinPay, LLC ("CardConnect") directly and/or through one of it's ISOs from approximately 2015 to
2020.
7.While employed at CardConnect, one of CardConnect's competitors was a
company called Lighthouse Network.
I do not recall CardConnect ever using the fictitious name "Lighthouse
Network" when referring to the actual Lighthouse Network.
9. However, it was common practice for CardConnect employees and/or ISOs to create
fictitious names or "alter egos" of competitors, including Shift4, when trying to sign new merchants.
10. For example, my sales team and I created a fictitious name for Shift4, "Shit4,"
when competing against them for business.
11. The purpose of doing so was to attempt to create additional separation between
CardConnect and Shift4 in the mind of a potential merchant to create an unfair advantage for
CardConnect.
12. We would also use the "Shit4" alter ego when referring to Shift4 in text messages
and emails, as well as in conversations with merchants.
13. I and other members of my sales team at CardConnect continued to use this term
when communicating about Shift4 with CardConnect personnel after my departure from
CardConnect. See Exhibit A.
14. While I was employed at Shift4, I completed a Data Security Training course and
certification assessment on or about January 5, 2021. See Exhibit B.
15. The system that Shift4 used, and continues to use, for its Data Security Training
and assessment is called "OneTrust."
16. I have read the Complaint in this case and I have no personal knowledge of Shift4
utilizing CardConnect's trade secrets to compete with CardConnect.
17. To the best of my knowledge, I have never shared any CardConnect trade secrets
with anyone at Shift4.
