9. Isaacman and I discussed potential revisions to the 2015 ISO Agreement again in
or around September 2018; at the time, CardConnect sent Isaacman the list of merchants for
which it wanted Shift4 to terminate processing services, and the parties discussed the terms on
which that transition would occur. By that time, the commercial teams from each party we
actively renegotiating the terms ofa new agreement

10. The parties did not agree on all material terms at that point.

11. Nonetheless, on or about October 3, 2018, Isaacman sent the attached document to me via
email. (A true and correct copy ofthat email is attached as Exhibit B). When I say, the
attached document, I mean the document attached to this Declaration as Ex. A.

12. I forwarded the email and attachment to CardConnects legal department.

13. I attended ISS conference in Hong Kong from October 28 to November 1, 2018.

14. Isaacman as also at the conference and we met there.

15. During the conference, Isaacman texted me. (A true and copy of that text message is

16. I do not recall the specifics ofthis text exchange with Isaacman.

17. During my time at the conference, Isaacman also left me a voicemail. In the voicemail
Isaacman said that he had sent me an additional, updated copy ofthe ISO agreement.

agreement from Isaacman at the ISS conference.

19. Following the ISS conference, on November 15, 2018, I sent Isaacman an email thanking
