Dave - to answer some of your questions:

     The exclusivity for new business at this point only pertains to Harbortouch.

     It does not apply to the existing CardConnect base.

     The "technology transition" is anticipated to take up to 2-3 years. We have 30-40,000 merchants to migrate, the
majority of which sit behind one of our gateways. It will take a significant amount of planning, coordination, and
development. There is potential, however. for the technology conversion of new business to happen more quickly.

     At this time, we are only integrating the POS systems. We do not have a date to back-end the portfolio, but l
expect this will happen at some point in the future.

     I have included Bob McAlear on this e-mail. He heads up our technology initiatives, and can likely add some
additional insight based on some of his past experiences.

Jeff,

I hope all is well. I am writing to follow up on our initial Lighthouse discussions. We have now fully completed our
Lighthouse rollout, and it provides significantly more functionality than the prior versions. We have been focused
on the "business management" tools, rather than just the data reporting that existed previously, and the feedback
from merchants has been overwhelmingly positive. A few examples of the new features:

     Customer Database - allows a merchant to see all customers (even if just by card number), how often they visit,
      what they buy, etc.
 Customer Segmentation - allows a merchant to segment customers based on a variety of parameters (spending,
      frequency. purchases, etc.).
     Reputation Management - allows a merchant to see reviews from a variety of sources (Yelp, Google, etc.) and
      respond to them.

 Social Media Management - allows a merchant to schedule social media posts (Facebook and Twitter) that either
      promote the business generally or offer specific customers (via targeted emails) specific promotions.
 Email Marketing - allows a merchant to use pre-built templates (or build their own) to market to customers
  (who are automatically grouped into intelligent lists).

I'd love to get your thoughts on these additional capabilities and revisit the prior discussions regarding integrating
Lighthouse into your merchant portal. I know we briefly discussed a whitelabel version, but I'm open to discussing
other options as well.

One other item to discuss is the announcement that we will begin the rollout of our EMV solution to the
CardConnect base next week. To my knowledge, the CardConnect EMV solution doesn't provide any "semi-
integration," so the devices would be completely standalone, which seems far less appealing than our fully
integrated solution. I recall you stating on our eamings call that EMV was low on your list of priorities, but with the
fraud liability shift more than a year behind us, I can't imagine there isn't growing pressure at CardConnect to
provide an integrated EMV solution.

Finally, what is the status of the overall Shift4 integration? Does the exclusivity for new business only pertain to
Harbortouch, or does it apply to the existing CardConnect base as well? How long do you anticipate the
technology transition taking? Will you eventually back-end the CardConnect portfolio to Shift4, or just the POS
systems?
