CardConnect is planning to move away from the TSYS processing platform and onto the First Data North (FDN) platform, where it will be able to take advantage of all the capabilities that CardConnect's parent company (First Data) has to offer.

Shift4s current configuration has it integrating into the CardConnect Gateway (for encryption/tokenization), which then routes all transaction authorization requests to CardConnects TSYS processing platform.

Shift4 has expressed interest in moving along with CardConnect to this new platform to take advantage of better economics.

CardConnect has been hesitant to make any promises regarding this migration, citing concerns about Shift4's true commitment, the risk of moving such a large partner, and the ongoing, sensitive contract re-negotiations between the two companies.

Recently though, both CardConnect and Shift4 have agreed to enter into a period of good-faith discussions around what this migration may look like.

Per discussion, I wanted to make you aware effective immediately we added 100% language that we
have the unlimited and perpetual use to your API and gateway and have the authority to sub-license it
(without PII/PCI) for any provider delivering services to our customers. This is consistent with every
ISV relationship we have and aligns with our reseller agreement.

This should not be necessary, but we have experienced too much leverage in the financial services
industry not to standardize this practice.
