Gary, 

I have not had the time to compile my thoughts so apologies for the delay. I am also thinking a call could go a 
long way as my message is clearly not coming through. For example, even including my entire family on emails 
does not seem to communicate how important this is. I could include my dog if it would help. 

In summary: 

1. First, I think there is a misperception amongst the CCN team that the Merchant Agreement contract we care 
about applies to everyone we board. That is not accurate. The "CCN MA" represents 10-15% of the 
merchants (and in the last year or so very few) we board. This represents 15,000 to maybe 20,000 of our 85,000 
total merchants. Those merchants we care about as we have been boarding those merchants onto our payment 
gateway, they are integrated into our software and the core to our economic model. The other ~70,000 merchants 
we don't really care about at all. Randy will tell you we have been trying to shed many of them. 

2. There is a big difference between those ~15-20k merchants we care about (and the related Merchant 
Agreement) and the volume that flows to the Card Connect platform which includes a lot of resold volume by 
other ISV partners. The 80,000 merchants you hear CCN discussing are not applicable to the 15-20k merchants 
on the Shift4 Merchant Agreement. 

3. The ~15-20k merchants we care about must remain eligible to use our gateway. That is without question. The 
remedy language only discusses limiting our recovery in the event the merchants use another gateway. 

4. I simply cannot see what would be in it for any customer to move to a new gateway and start again. No 
conversion tools, no path, new contracts and risk a migration. The idea that the CCN deal team doesn't see 
this as a huge economic windfall is mind blowing. 

I would propose a call for later this week. I can share my thoughts then.
