CardConnect ("CC") entered into a reseller agreement with Shift4 in 2013, whereby CC
committed to transferring 8,000 merchants to Shift4 by June 2018.
In Q4 2016, CC initiated conversations with Shift4 to amend the reseller agreement based
on CC's difficulty in meeting these obligations.
During the course of the discussion, CC management realized the significant exposure to
the Company if they were to fail to meet these obligations and, as a result, could be in
default under the reseller agreement.
