As I mentioned when we met in Chicago, I'm cool to agree to extend your earn out 1x exit payment to 3/31.
The $40mm+ number you referenced as n absolutely min guarantee is not happening.

If we extend to 3/31 and the original earnout is hit then you get 2x. Just seems like there should be equal ups
and downs from the earnout.
