I just wanted to provide you with context on the circumstances surrounding that communication that took
place earlier this year so that you understand it was not made in isolation or to instigate.
Back in May of this year, I met with the CEO and CFO of CardConnect in their King of Prussia offices.
During this meeting we had some conversation regarding Jefferies and their knowledge of our business.
CardConnect conveyed that Jefferies, while having signed an NDA with CardConnect, was pretty
aggressive in pursuing confidential, non-public information about our company,
I informed CardConnect that Jefferies was an advisor to Shift4 as well, and that | was frustrated with what
appeared to me to be questionable (at best) conduct.
After that conversation, Jeff Shanahan and | exchanged the text message attached, showing his sympathy,

After a conversation with Steve Pienciak about our desire to explore options for financing, Steve
recommended that we contact Frank Nash at Leucadia / Jefferies as a potential option. As a result, |
scheduled a meeting with Frank and his associate Taylor on May 25" to fly out to see them in NYC.
However, before | left for the meeting | received a text message that Frank Nash cancelled, and the meeting
was never rescheduled.
Based on these interactions, | was concemed that Jefferies was actively seeking confidential information
about our company, sharing such information inappropriately, and negatively portraying our company to
others including our financial sponsor (CardConnect).
