Docket 206-9: Exhibit H
From: J.D. Oder II
Sent: Friday, June 9, 2017 3:54 PM
To: 'Randy Miskanic'; 'Michael James'
Cc: John M Jenkins; Nate Hirshberg; Jason Wright; Daniel Montell; Taylor Oder
Subject: RE: Card Connect
Randy and MJ -
Just hung up with CC. We have a problem.
They claim their "cost" is their interchange "cost" + 6 bps and their legal counsel is telling them this is their actual
cost and we can't get any of the buyrate.
I think at this point we should involve our legal counsel. I'm very concerned that if they take the position that this
is their cost (on their entire portfolio not that specific MID) then we won't be able to do anything to get at the
economics we structured this deal around.
We have a call on Monday to discuss.

Docket 206-10: Exhibit I

To: 'Randy Miskanic'
Cc: John M Jenkins; Nate Hirshberg; Jason Wright; Daniel Montell; Taylor Oder; 'Michael James'
Subject: RE: Card Connect
FYI- I just got off the phone with their CFO. He is a very reasonable guy. I laid out the "spirit" of our
arrangement and how we structured the deal to ensure we got a piece of the buyrate. We are going to talk
on Monday.

Key Findings and Verification * "Structuring": Docket 206-9, and 206-10, (Exhibits H, I) explicitly use the word "structured" in the context of the deal's economics. * Text Messages: Docket 231-14 contains iPhone text messages. * All found items are outputted.
I have presented verbatim text extracted from the court record. No interpretation or analysis has been performed. If any needed theoretical, it was performed, maintaining the original (redacted where applicable).
