1.  I am over the age of 18 and am competent in all respects to make this
    Declaration. In making this Declaration, I rely upon my own personal knowledge.

2.  I am currently employed by Shift4 Payments, LLC ("Shift4"), as the Senior Vice
    President of Business Development. Shift4 is headquartered in Allentown, Pennsylvania,
    and provides payment processing services to merchants.

3.  I began my employment with Shift4 on or about January 1, 2018.

4.  Prior to my employment with Shift4, I was employed by CardConnect, LLC,
    ("CardConnect") from June 2014 through December 2017.

5.  During my time at CardConnect, I served as the Vice President of Integrated
    Solutions. In this role, I was responsible for managing CardConnects relationships with
    its independent software vendor ("ISV") partners.

6.  I tendered my resignation from CardConnect on or about December 8, 2017. My last
    day of employment with CardConnect was December 31, 2017.

7.  Prior to my departure from CardConnect, I recommended to CardConnect
    management that Taylor Lavery succeed my role as the Vice President of Integrated
    Solutions.

8.  I recommended Mr. Lavery for the position because I believed he had the necessary
    skills and experience to succeed in the position.

9.  My recommendation was not followed by CardConnect. Instead, CardConnect
    decided to split the responsibilities of my previous position into two positions.

10. Mr. Lavery was ultimately promoted to the position of Director of ISV Sales as part of
    this restructuring.

11. After my departure from CardConnect, I remained in contact with Mr. Lavery. Our
    communications were almost exclusively for personal reasons.

    opportunities at Shift4. I informed Mr. Lavery that he should contact Jared Isaacman,
    Shift4s Chief Executive Officer, to discuss any potential employment opportunities.

    employment opportunities and was told that Shift4 did not have any open positions that
    were a fit for Mr. Lavery's skill set and expertise.

    I learned that Fiserv had cut salaries for most of CardConnect's employees.

15. Shortly thereafter, Mr. Lavery contacted me and again, inquired about potential

16. I informed Mr. Lavery that he should contact Mr. Isaacman to discuss any potential
    employment opportunities.

17. Mr. Lavery subsequently informed me that he had spoken with Mr. Isaacman and
    was told that Shift4 was interested in potentially pursuing a business relationship with Mr.
    Lavery and his new company, RedFynn.

18. RedFynn is a payment processing company that Mr. Lavery had formed while still
    employed by CardConnect.

19. I understood that, in order to pursue a business relationship with RedFynn, Shift4 was
    required to enter into a non-disclosure agreement ("NDA") with RedFynn.

20. I further understood that, prior to entering into the NDA, Mr. Isaacman sought
    assurances from Mr. Lavery regarding his continued employment and obligations to Fiserv.

21. My understanding was based on conversations that I had with Mr. Isaacman.

22. Specifically, I recall that Mr. Isaacman had asked Mr. Lavery to confirm that he was
    nolonger employed by Fiserv prior to entering into any NDA with RedFynn.

23. I also recall that Mr. Isaacman asked Mr. Lavery to confirm that he had returned all
    property belonging to Fiserv and had honored all agreements and/or obligations to Fiserv
    prior to entering into any NDA with RedFynn.

24. Only after receiving these assurances from Mr. Lavery did Shift4 enter into the NDA
    with RedFynn.

25. I signed the NDA on behalf of Shift4.

26. After the execution of the NDA, Shift4 and RedFynn engaged in discussions
concerning a potential business arrangement.
27. These discussions ultimately proved to be unsuccessful, and the parties never reached any business arrangement.

28. At no point during my tenure at Shift4 did I ever solicit or encourage any
