We do have some questions here given the interpretation you provided.

1. Is your position that Shift4 has no obligations to try and convert or maintain any of the existing 33k merchants on CardConnect - that we can just let them all go?

2. Are there no minimums we have to maintain on CardConnect at all? Meaning is it ok if the portfolio goes to zero at any length of time.

3. What is the incentive for Shift4 to perform knowing even after converting a customer to CardConnect we can get termed for performance even if we meet minimums, exceed them, etc.?

4. Should we just covert them to an entirely different processor that has no strings attached and/or kill off 33k merchants?

We are at a complete loss to understand how you can just end our residual stream after we have invested tens of millions into integration, conversions, deployment, support, etc. and met all obligations.

Jared - the contract requires Shift4 to send all transactions to CardConnect. 11.1 bullet 3 talks about if Shift4 fails to do so.

There are no minimums, it says the opposite that minimums don't apply.
