I wanted to make sure our entire Board was aware of some recent developments at CardConnect, as we have some concerns of potential misrepresentations being made in the channel that are worth monitoring.

As you probably know, we have always had a great relationship with CardConnect. • Shift4 was their #1 partner. • We took an active Board seat. • Our executive team went there often and invested a lot of time supporting many of their initiatives.

Last week, we learned some disturbing news that included: • CardConnect, while a public company, was actively pursuing strategic alternatives including the sale of the company. • CardConnect executive leadership was not informing their BoarD. • There were active discussions with First Data. • CardConnect executive leadership made misrepresentations to their Board for their own personal benefit. • CardConnect made a number of financial misrepresentations to their Board.

I can share more details with anyone who wants to get on a call; although it goes without saying that this information is highly sensitive and should not be shared with anyone. As a public company who has not made their shareholders aware they are for sale, it would be material, non-public information.

We had a call on Friday with Jeff Sloan. Angelo was on the call as well. In short: • Jeff was pretty shocked to hear the news. • Jeff took notes, was very inquisitive and asked a number of fact finding questions. • Jeff acknowledged misrepresentations were made to their Board.

Out of an abundance of caution, we wanted to be sure our Board, Investors, Employees and Customers were aware of the truth and facts of the situation as we suspect there could be an alternative narrative to come.

1.  Shift4 did acquire the employment of CardConnect's President (and our Board Rep), Taylor
    Lauber.

2.  We did so after Taylor called Jared indicating, for a variety of reasons, he was going to be
    departing CardConnect. Jared said he would love to continue working together. Taylor (and
    Nate who had a great previous working relationship with him from his Mercury days) agreed.

3.  Taylor did not solicit any employees, customers or partners of CardConnect.

4. Mr. Lauber's departure was independent of our knowledge of the above misrepresenations.
5.  Shift4 and CardConnect do not have any agreement that would prohibit our hiring Mr.
    Lauber.
6.  When Jared called, Mr. Lauber was working remotely and in his home state of Utah.

7.  Over the last several weeks, rumors had circulated that something was going on at
    CardConnect.
    a. Several weeks ago, First Data executives were observed at CardConnect headquarters.
    b. Mr. Lauber had been spending an unusual amount of time working remotely in Utah.
    c.  There was a rumor that Mr. Lauber's employment agreement had recently
        changed, but
        confirmation of this change could not be verified.
    d. Mr. Lauber had failed to deliver (as of the date of this email) the minutes from the
        February
       CardConnect Board Meeting that should have been delivered in advance of the next
        meeting.

Again, please do not share this information with anyone, but we felt it important that you were aware in the event some alternative narrative surfaces. We can get on a call with anyone who wants to dive deeper into the specifics.
