Randy-
| wanted to share a few thoughts as | know a cease and desist letter is probably going lo be heading our way soon. | certainly bear some responsibility in this situation because | know how protective you (First Data) must be of such a large merchant and that is really the purpose of enterprise agreements, etc.
As background, we were first made aware of a pending software change at Landry’s about 5am on the Saturday before last. This was an emergency on their (Landry’s) end in that MICROS was essentially trying to prevent Landry’s from deploying a P2PE solution from another provider (which we are not a party to)
Next page. without paying them (MICROS) additional money. MICROS did not want to be cut out of a P2PE solution and related revenue. Of course, at this time in the moming all we knew was that we were going lose connectivity to about 2,000 devices across 150-200 restaurants so we did all we could at 5am to keep the transactions flowing and our customers supported. Ultimately, it was determined the solution was temporary in that Landry’s just needed to comply with MICROS request (for addilional payment/revenue!. The permanent solution would be to get through the EMV certification to your platform, | was given the direction that “EMV certification is already in progress and that it should be supported in Q1 - so it might do more harm than good to send this big of a merchant through certification again if it’s only a matter of months."
This is important because it doesn’t make sense to drop what you are doing (ie. EMV with another provider) to begin on some extended certification when the EMV products will achieve the same objective and arrive at pretty much the same time. We were also informed that the POS software was certified for EMV on First Data about a year ago, which we now know is incorrect.
Nevertheless, it was obvious changes were brewing a: Landry’s so | visited them in person last week. We (Shift4) have a long, valued relationship with them and it goes well beyond just payment processing. | met with the CFO, CIO, General Counsel and the Director of Application Development. The CIO mentioned a software change that was not going to support First Data, | then said we (Shift4) could probably just certify the software before you were even aware there was an issue. The CFO made a comment, “Not without paying a $1M fee.” | had no idea what he meant since | didn't know of any software licensing fee with First Data and didn’t think it mattered since we used our own software.
The takeaway 1 got from the meeting was that something was occurring between your companies (First Data and Landry’s) that | was unaware of, Landry’s was clearly looking for altemative technical solutions,
and we (Shifty) have a large customer in need of support.
We have 500+ restaurants and 40,000+ rooms processing through Shift4 to First Data, | would say every ~ one is likely in violation of some reseller agreement, | haven't gone looking for any, but | am sure violations, exist somewhere. | can only support the customer. | don’t get in the crossfire between First Data and the reseller. Shift4 is software first and foremost, | wouldn't be in a position to support any of our 33,000 merchants if our responsibility was to enforce reseller agreements. Our responsibility is just to get the customers transactions to the right place.
In this case, | simply felt there was an opportunity to do more volume to First Data. | have often said that when the large POS companies get EMV done, we will see volume like we have never seen before. | do believe that to be true. | also felt that the situation at Landry’s with MICROS, as in many circumstances with that POS, goes in cycles. | am also a MICROS dealer and believe that the CIO’s comment of removing First Data might have been more to create leverage than an actual plan. | am also sure it has occurred before.
In the “spint of cooporation", | wanted to at least share my perspective. | am going to support the needs of the customer before any cease and desist communication arfives or this gets fired up. | will also say, if | were you, | would not want me to do it any other way.
