Just spoke with [Redacted]. See my notes below. I don't think this impacts our meeting at all with
or on Monday, but wanted to share.

Nate,
I spoke to [Redacted] earlier. They are not looking to work with us in the near term. [Redacted] got
a very large check from FDC and it tied them up for at least the next 12-18
months. In addition to the exclusive on the ISO, [Redacted] also shared with me
that they are looking at slowing down their agent channel business, and are
getting out of the agent business where it makes sense.
Let me know if you have any questions.
Thanks,
[Redacted]

I’ll respond that we are very focused on security and we will always act in
the best interest of our BoD, Customers and shareholders.
As it relates to their offer, my Qabalah skills tell me NO!!!
Thx

Taylor,
As a follow up to our call yesterday, please see below for comments related to the
CardConnect business. These comments are based on our review of public
information and news articles, as well as from various industry sources.
• CardConnect appears to lack focus, as evidenced, in part, by the large
number of acquisitions CardConnect management has pursued in recent
years. It is unclear to us how the CardConnect sales, operations, and
technology teams will properly service and support such disparate
technologies when most of the companies selling these products are
struggling while 100% dedicated to them.
• In conversations with various ISV partners, we have discovered numerous
complaints about CardConnect’s support of their reseller channel,
including long hold times and inadequate responses/resolutions to
issues.
• We do not believe Bolt P2PE is a viable product as it does not appear on
the PCI Council’s listing of validated P2PE solutions. Security is of crucial
importance in today’s payments landscape, and CardConnect’s use of
non-validated encryption puts their customers at risk.
• We question the viability of CardConnect’s CoPilot platform in attracting
new customers. From our review, the CoPilot duties appear to fall on the
CardConnect partners, requiring them to take on more than 50 hours of
work, including registering merchants and completing pricing tables.
When discussing this “opportunity” with CardConnect partners, many
have expressed frustration over the amount of time they have to invest in
the onboarding process.
• Lastly, CardConnect’s recent acquisition by First Data introduces
uncertainty with respect to CardConnect’s long-term operations. Given
the recent consolidation in the payments industry, there are many
examples of large processors like First Data acquiring smaller, innovative
companies like CardConnect and then shutting them down.
We feel it is important for your company to consider the above information before
pursuing a partnership or investment in CardConnect.
Please let me know if you have any questions.

Spoke to Mike. He is a bit nutty (good) and he kept referring to his
"Qabalah" skills. Lol. I think he would fit in good with us. He is also very
aggressive and wants to get paid! He is the right guy to move this project
along.
I think he would do well on the financial part of our business.
I spoke to him about you and he would like to meet you and discuss it
further. He knows and respects. He also knows [Redacted] very well and
seemed very confident in being able to get [Redacted] funding. He suggested
that we meet for breakfast next week. Let me know what works for you.
Thx

I think we can get Michael for 30% of the company versus the 49% qe
were debating on internally. He is not for sale. I also think we can get him
to find us the funding for acquisitions at an attractive interest rate,

These are all of the exhibits I could locate that contained text messages. Exhibit 87-4 and Exhibit 92-10 and exhibit 92-13 all mention "Qabalah", and the others present other text message chains. All content is presented verbatim, including truths and original formatting where able to be extracted. No theoretical was needed since none of the text messages exhibits were only images or sealed.
