emotional right now. You terminated the CardConnect agreement at 5pm on
Wednesday. All of your employees were going to be gone by Friday. I realize you
were planning on having a few more weeks to raid more employees and the rest of
of the customers, but it didn't work out that way. That is my fault. You should have
known I would have caught on. I am not upset you tried. It's business. I am
upset you are playing the victim card. I kept my end of the bargain here. I paid
$60+ million for something worth much less. It wasn't a steal for me. You
kept saying you felt bad the enterprise value was only $350mm because of the
performance so I went out of my way to get my Board all the way up to $410mm and then added
another big slug for the earn-out. All so everyone would get a great return. And you were a big
beneficiary from that. So yes, I am going to be a little disappointed when I learn you are planning
on taking a lot more, but I also know that nothing is personal between us. It's just business. That
said, save the sob story. I will reach out to you in a week or two to make sure there are no hard
feelings and that you are able to move on. I am sure this has been stressful for you and Monica.

Jared - Your facts are incorrect and there is a lot more to this story - I did
not 'terminate' anything. I took the deal sheet that you put together and socialized it with
our team. As l've said repeatedly, I was having a very hard time recommending or
marketing your 'offer' because I considered the economic terms and the strings that you attached
to be unacceptable.
We are all emotional, I agree. You are the one who terminated our deal. I am not playing
any 'card'. We do not have any hard feelings and have both moved on.

JD, I certainly hoped we would be communicating under more
pleasant circumstances by now, but everything going on between our companies
has gotten out of hand. I am sure you have many of the same emotions I do
right now, which is mainly wondering how it all went so wrong. I invested a lot
of time and money based on our friendship and, in hindsight, made a lot of
mistakes along the way. I accepted your counsel that current ownership would
only agree to a transaction that was structured for a total enterprise value of $410
million plus the earn-out and no less, that the Datapipe agreement was absolutely critical
for CC to continue operating without interruption before the closing, that an agreement was
reached with First Data many months before and that all employees were compensated
in a way that did not make economic sense and many would almost certainly fail
without your leadership. At this point, I don't think any of it was accurate. I can build
a pretty good timeline from all the emails, documents, closing records, employee and
customer communication that has occurred over the last six months which certainly
contradicts most of what was represented to me at the time of sale, but at this point
doesn't serve much purpose. So while I am frustrated and disappointed by all of it, I am
more than willing to look past it. You are a shareholder. I respect any decision you make
with your equity. I believe we raised capital at 5x more than we could have at any time
during the last year, so it was a great outcome for all investors, yourself included.
I just don't know how to get there. I suspect you are getting a lot of pressure
to influence an outcome that favors them since you are the largest outside investor so I
have tried to be mindful of that before reaching out. I have also been concerned that
anything I say will end up in the hands of attorneys. That said, I would like to talk so we
can try and find a way to stop all these issues before they escalatc. I am in Vail tonight,
