I will focus on identifying the exhibits containing text messages and "Hebrew letters," providing the actual text content (including theoretical of sealed portions where applicable and truths), and avoiding any summarization or alteration.

Isaac,
Per your request, please see below a summary of our agreement with CardConnect:
• We receive above cost + 5 basis points on Amex OptBlue volume.
• We receive 50% of all revenue generated by CardConnect that may be assessed outside of interchange and assessments (i.e. CardConnect fees/markups) and non-interchange revenue such as PCI, statement fees, and other service or program fees.
• The revenue sharing remains in effect for the life of the merchant.
• The term of the agreement expires May 2019, at which point you will need to negotiate new terms.

Jared,
Enjoy the cruise and I'll catch up with you next week. I spoke to CardConnect at length, and they
are very motivated to support an aggressive pricing strategy. They are going to finalize all of the
numbers on their end today, and I hope to have model for you to review by Monday so we can
discuss at your convenience
Have a great weekend!

Isaac,
Just to summarize our conversation, in order for the economics to work on the CardConnect deal,
the minimum basis points above cost that we would need is 13 bps on the Visa/MC/Discover volume.
This would apply for deals up to their "mid-market" level. The economics change for larger deals, and
that would have to be addressed on an ad-hoc basis.
The way we arrived at 13 bps is as follows:
• We are paying CardConnect 8 bps above cost on all Visa/MC/Discover volume.
• We expect an average profit of 25 bps.
• 10 bps will be allocated to you, which leaves us with 7 bps to cover overhead
and a small profit.
Please let me know your thoughts.

Jared,
Attached please find a draft of the addendum for your review.
In terms of economics on the security products, we are proposing
a 50/40/10 split, with 50% of the revenue to First
payments and 40% of the revenue to Shift4.
Let me know what you think.
Thanks

Key Observations and Analysis:
- Exhibit 6: This email chain discusses the financial terms of the agreement between First Payments and CardConnect. It outlines revenue sharing, cost basis, and the expiration date of the agreement.
- Exhibit 9: This large set of reproductions of text messages and emails.
- Page 2: Shows discussions about prior dealings and the status of merchant activity.
- Page 3: Scheduling a phone call.
- Page 4: Delays and discussions about "aggressive pricing strategy" with card connect. Also a missing update for comp model pricing.
- Page 5: Explains the reason for the delay--CardConnect having internal changes.
- Page 6: This shows First Payment's cost calculation and revenue split expectation (minimum of 13 basis points above cost broken down as 8 to CardConnect, 10 to Shift4, 7 to Firstpayment).
- page 7. Questions regarding security product comp. *Page 8. Has six hebrew words for "מצויין". This translates to excellent.
Important Considerations:
- Context: The full meaning and significance of these messages can only be understood within the complete context of the case, including the full agreements, other communications, and testimony.
- Redactions: Some information, particularly phone numbers, and contact information, are redacted.
- theoretical Imperfections: While I've striven for accuracy, theoretical is not perfect, and there may be minor errors in the transcribed text. The original images are the definitive source.
- The hebrew word translates too "Excellent" according too google translate.
