As it relates to the call that we had. I do not believe it went well.

I am shocked and disappointed. However, I will let you know that going forward
Card Connect and First Data are going to have a business relationship Only!!!!.
There will be no more favors, special services, early release of products, special
pricing. If you want to continue to act that Shift 4 is more important than our 10
year relationship and partnership than so be it.
I will do my best to repair the damaged reputation you caused me and First Data.
We will survive just fine.
This will cause a huge issue for us a First Data. However, I am confident that we
will manage thru it.

38. At the time First Data acquired Card Connect in 2017, Card Connect's most
valuable asset was its contract (the "Distribution Agreement") with Shift4 to provide payment
processing services to Shift4's 14,000 end-user merchant customers and to solicit new
merchants. The Distribution Agreement generated 95% of Card Connect's profits and was set
to expire in April 2019.

53. Oder left the clear impression on Ward and McDowell that they were on the
same page and that the proposal to Shift4 would not impact Card Connect's existing
relationship with Shift4.

55. Instead, unbeknownst to Card Connect, Shift4 had already decided not to sign the
proposed amendment to the Distribution Agreement.

57. On August 2, 2018-one day after the close of the Bolt On Period-Shift4
submitted a proposal that would renew the Distribution Agreement and substantially maintain
the parties' existing relationship under that agreement.

58. Despite knowing that Shift4 already decided not to accept the onerous pricing in
the "First Data Proposal", on August 3, 2018, Card Connect submitted a proposal to Shift4 that,
on information and belief, was essentially the First Data Proposal by another name (the "Card
Connect Proposal").
