Attached is a summary of the economics from the original agreement to the proposed amendment. A couple notes when reviewing:
    *CC gets $2.75 per MID and pays us $1 per MID.
    *They currently pay us 100% of Amex downgrade. We have an out in 60 days if we don't like the profitability. The amendment locks us in for 12 months.
    *The net increase in merchant fees, if the deal passes as written, is closer to 3.5-4.5 bps, not 5 bps, net of card brand fees.
    *My math does not factor in PIN debit attribution. That is upside.
    *My math does not include a credit.

The economics are attractive, even more so if our Amex portfolio performs.
They have been an excellent partner.
