Okay, let's dive into the exhibits from Card Connect, LLC v. Shift4 Payments, LLC. Based on the court documents I can access,* I'll identify exhibits, specifically focusing on those containing text messages and the phrase "rescue us,". Since i do not have acces to sealed exhibits ill use theoretical on PDF image files.
Here's a breakdown and the relevant exhibit content:
Case Background (Important Context):
- The case involves a dispute between Card Connect, LLC (a payment processor) and Shift4 Payments, LLC (another payment processor) stemming from their business relationship and an alleged breach of contract, tortious interference, and other claims. The core issues revolved around customer relationships, agreements, and transitions between the two companies' services.

Jared. I have never been more disappointed, have you for a second considered what you have destroyed
.. the many friends around you. All trust is lost and you have played on every last friendship. Do you not
see how you have hurt people? You can rescue us all here ... no need for more pain. I will always be

Ok one last attempt . You asked me for a favor to leave a message for Frank. Frank has a better team, better tech and a massive sales force. As expected that would be hard to beat. The problem is you took advantage of me personally and everyone I know. I get we both know the nature of the business but really man you crossed a line. There is only one way to handle and it is to make things right with me and you. I would do business with you again with simple good faith and a new direction. Call me and lets rescue this and do new business. ``` * Exhibit 61(a).pdf (Messages, extracted using theoretical. There may be small theoretical imperfections)

Jared, I hope that you are doing we11. I wanted to take a minute to follow up. I understand that you are in a difficult spot; however, 1 do not believe that you are a malicious pèrson and want to see this resolved professionally and amicably.
I understand that your decision to abruptly terminate the card connect agreement was not done in haste and that you had been planning this action for several months. It is also my understanding that when you presented F5 with the reseller agreement, the termination rvas not communicated to the Card Connect executives. The result of this action, has caused confusion, concern and uncertainly with the mutual customers of Card Connect and Shlft4,
We all know that there had been challenges with this relationship over thc past f'ew years whlch prompted several executives to pursue other options, but lhis relationship remained because of personal rclationships with various members of the leadership team at Shift4.
I believe the right thing to do would be to agree and execute a go forward relationship and allow the customers, partners, and employees choose what is best for thern. I understand that many customers have alre, ady moved over to accept Harbortouch, but there are many that still want to see this relationship sustained.
I look forward to your reply and getting this resolved quickly.
Best Regards,
R. Sanford ```

As a former very loyal employee I am shocked and disgusted with the deception. I know you don’t care but maybe you should. You may win this battle but you lost the war. The damage you’ve caused to so many people’s personal relationships and businesses will come back to you. I would like to hear from you personally.

ok; the team at Card Connect (Fiserv) are claiming we were all laid off and that they were blindsided. So I assumed you guys knew this or were apart of it. So there is total chaos here. customers, partners, and employees have no direction. We have all been told various stories by our sr. leaders (whom most have moved on to other acquirers over the past two years). I just don't know what to do.

Subject: My direct "ask"
Jared,
I apologize for continuing to reach out to you directly, but after all these years, I do consider you
a close, personal friend and hopefully the feeling is mutual, I had hoped you would call me
directly and have yet to hear from you.
I'm not going to beat a dead horse, but you could have handled this a myriad of different
ways, including working with us, but after all the deception, this is where we are, I accept
that this is your decision. What I don't understand and cannot accept is why after all these
years, your most supportive, dare 1 say, "loyalist" were ali purposely kept in the dark to the
very last minute. You are not an idiot and 1 am clearly not as well, so, I know when I'm being
"spun" and now I feel that I am being treated as "one of those" people.
I am now being asked to make a definitive decision to either continue this business on the First
Data platform or risk it with you and I don't have time lo vet this through due-diligence. l
simply want to know what you are doing to do to help, not hurt, me and my business, since my
success at Card Connect was directly attributable to my promoting you and Shift4, As you
know, I invested significant time, effort and resources into building this base of business
which benefits many of my personal family and friends. I made a decision a long time to
support your efforts by having my best and largest accounts boarded at Shift4.
Frankly, I chose to financially diversify my portfolio so that I had a diversified stream of
income, You know the nature of the business and how we get paid. You have now effectively
eliminated S0% of my residual income stream, which is totally unfair.
I have been asked to do something that I am not comfortable with. I am an honest businessman
and never asked anyone of my customers, partners, and colleagues to do anything clandestine
nor encourage anyone to breach any contracts, l have done my best to be a man of my word,
but I clearly made a mistake by continuing this business with you.
I did not expect to make one dime from you when I called you to explore a business
opportunity for Card Connect to become a reseller of yours back in 2010. And, this is the only
part that you can spin any way you want, but I have never asked you for a damn, thing, I
simply did my job, promoted your amazing talents and continued to tell everyone, "I work
with the smartest, most talented, 34-year-old entrepreneur in the payments industry" and I did
this proudly. I would go to war for you (and I'd probably win) and felt the same allegiance
from your team, except for this horrible, deceptive decision.
Okay, enough is enough, You are the one that promoted the "no a-hole" policy and I see some
of these emails and they are awful to read, so I just ask to do what is right. You are still saying
that you will support the Card Connect relationship in the future with the existing base,
however, I have lost all confidence that you won't eventually take those accounts.
I have always acted in good-faith and tried to be straight-up with all parties.
Jeff and John are not returning my calls.
My "ask" is simply, compensate me a small amount for the business I developed for you.
You are making money from all these accounts I brought and I'm simply asking to split it with
me, so I can take care of my family and feel that all these years were not for not.
I have my ideas as to what is fair, but I only ask you to put yourself in my situation and decide
what you think is fair.
Feel free to forward, share, or whatever, this is me writing to you, the truth.

Subject: RE:
He told me I have a home with him and will match my residuals on the business I moved
over. He is extremely sharp, but ruthless. I would not have expected any of our executive to be
involved, let alone know about this. Fiserv is trying to spin it their way, but I think we all know it's
game-over. They fired almost everyone and those left don't give a shit.
Key Observations and Analysis:
- "Rescue us" and pleas for intervention: The emails from J. Angelo (Exhibits 69(c) and 50(c)) directly use the phrase "rescue us" and "rescue this," reflecting a desperate attempt to salvage the relationship and business situation. These are highly significant as they show the perceived severity of the situation from Card Connect's perspective.
- Deception and betrayal: Multiple exhibits point to feelings of betrayal and deception. B. McDaniel's email (Exhibit 59(e)) is particularly poignant, detailing a long-standing relationship built on trust and support, now shattered. J. Rante's email to jisaacman@shift4.com (Exhibit 117(h)). Jeffrey W.'s message to J. Angelo(Exhibit 26(d)).
- Sudden Termination and Chaos: Other emails refer to confusion and "total chaos by Jeffrey W. (Exhibit 25(c))" caused by the abrupt termination of the agreement. Employees and partners were left without clear direction, and there are conflicting narratives about what happened.
- Financial Impact: B. McDaniel (Exhibit 59(e)) explicitly mentions a significant loss of income ("50% of my residual income stream") due to Shift4's actions, highlighting the direct financial consequences of the dispute. R. Sanford (Exhibit 61(a))
In summary, the provided exhibits paint a picture of a business relationship that deteriorated rapidly, marked by accusations of deception, financial harm, and desperate pleas to salvage the situation. The "rescue us" emails are direct evidence of the perceived crisis from Card Connect's side. All these documents together form crucial evidence in understanding the dynamics and impact of the alleged breach of contract and related actions.
