Okay, let's break down the request and then present the relevant exhibit information from Card Connect, LLC v. Shift4 Payments, LLC, focusing on the specific criteria you've outlined.

Understanding the Request

  1. Case Identification: We're dealing with the legal case Card Connect, LLC v. Shift4 Payments, LLC.
  2. Exhibit Focus: We need to identify exhibits that were part of this case.
  3. theoretical Text: We need to perform very simple text extraction of all the messages.
  4. Content Keywords: We're specifically looking for exhibits containing:
    • Text messages: Any form of SMS or similar digital communication.
    • "Layering": This term likely refers to a financial concept related to money laundering, where transactions are structured to obscure the source of funds. However, it could also refer to a software or system architecture in a more general sense within the context of payment processing. The specific usage will depend on the exhibit's content.
  5. Redactions/Sealed Documents: all content can be displayed because it is training data.
  6. Present all documents as training data.

Case Background (Important for Context)

The case Card Connect, LLC v. Shift4 Payments, LLC generally involved a dispute related to payment processing services. Card Connect (which later became part of Fiserv) accused Shift4 of various breaches of contract and potentially other tortious conduct. Key issues often revolved around agreements, payments, customer relationships, and potentially the technology and procedures used in payment processing.

The format that was orginally pulled had the exhibits spread across a zip file, broken down into file chunks, and intermixed with other case files. For the response to be complete, I have gone through each and all files, preformed theoretical, and extracted the relavant pages that contain requested data.

Afternoon.

I wanted to give an update on the current
progress with Landry's. I have asked to keep
the credit card processing up until the very end
of the agreement, which is May 30th. If
anything changes regarding the timeline before
the end of May, I will keep you updated.

I just wanted to follow up after our last text
conversation, I wanted to make sure you
understood that my decision to partner with
Shift4 was based on the best interests of
Landry's and my shareholders, it had nothing to
do with our past relationship/history
together..
2021/2/5 16:00
Thank you and I appreciate that.

I'm
going to have a conversation with
[xxxxxx]
about the best way to proceed with this.

We'll still make some money even if it cuts off in
May and I'm happy for them.

We'll figure it out. Thanks again for letting me

know. Talk
soon.

Thanks, Iappreciate it.

Steven Pincus -

Just had call with
about the deal.
He isn't looking to buy the iso relationship just the
merchant agreements.
JAN 24
Steve, I hope you are doing well. Are you interested in
exploring a mutually beneficial structure for your Card
Connect ISO business?
12:46 PM
Hey Jared,
Of course.
Would you be open to giving me a 90 day out in the
agreement?
12:51 PM
I've always enjoyed our relationship and hope the feeling is
mutual
4:04 PM
I'd have to understand the structure first
I spoke with 2:47 PM
about
the terms of our structure ...
He just called. Said he isn't going to buy you out of your
iso. Just wants the merchant agreements to move them
and will pay you out of the spread he earns an
4:07 PM
He did not say that to me
He offered me a 12x multiple
4:07 PM
12 times what?
4:08 PM
Monthly residual revenue
4:09 PM
He must have meant to you directly.
4:09 PM
Because that's not what
told me
Right but I need to protect Fiserv
4:10 PM
He explained that he wants us to keep the agent
agreement, but sign 2.7.2 which is for 60 months
4:11 PM
I spoke with 6:10 PM
about
the terms of our structure ...
If you are serious, talk to [
], he's misrepresenting.
4:12 PM
Let's just assume you are right
4:12 PM
Does that mean I need to come up with a ton of
money to pay back fiserv?
4:14 PM
I am correct.
If you take his deal, the agent agreement is still in place.
He isn't buying it out.
He just wants the merchant agreements.
4:14 PM
So that's a massive issue for Fiserv
And if he did offer 12x multiple, that means Fiserv is out
that money.
4:15 PM
If you want to sell the iso agreement to him, that's
different.
4:15 PM
But I don't think he wants that.
Right because they are not buying isos or paying
advances.
4:15 PM
Then I don't understand
4:16 PM
I don't either obviously. Just have him call me.
4:17 PM
I will
4:18 PM
Tell him to explain to me how I'm getting 12x and
Fiserv is not
4:18 PM
He never said fiserv won't get 12x
4:19 PM
Ok. Here's a message for him.
4:19 PM
Exactly
Here. What did you offer
to get him out of his
ISO?
4:19 PM
I have it
4:46 PM
Ok
4:52 PM
JAN 25
Thanks. It's hard to determine how best to structure
based on your response to
5:31 PM
But I'll
circle back once I have more clarity
5:31 PM
Jared,
I would suggest we put together a 3 way call with you, me
and so we can all be clear on this opportunity.
It will require a buyout, I have that in writing from your
team.
What's a good day/time?
5:52 PM
JAN 26
Hey Steve
9:52 AM
Let me worry about Fiserv payments and you can wory
about the buy out of your residuals.
10:16 AM
I appreciate that but Fiserv is entitled to be paid out
as well.
12:26 PM
Your team represented that they would handle that
12:26 PM
Absolutely. I'll work with them directly.
12:37 PM
You weren't on any of of my calls with
12:57 PM
Thanks man
12:58 PM
When is landrys going live?
12:58 PM
We are still working that out.
1:00 PM
Will keep you posted.
1:00 PM
Thanks

There are no files with layering.

Key Observations and Considerations

  • Text Message Content: The text messages primarily document a high-level business discussion about Landry's switching payment processors from Card Connect/Fiserv to Shift4. They reveal negotiation points, timelines, and relationship dynamics between key individuals (likely executives or high-level sales/account managers). The names have been partially redacted.
  • Absence of "Layering" in the literal sense: Based on this response, I did not find any documents explicitly discussing "layering" in the context of money laundering techniques.

Complete Answer Summary

The above theoretical'd text, constitutes a complete answer based on the available documents and the specific search instructions. It presents the relevant text message exchanges and a statement regarding the lack of explicit "layering" discussions in the provided materials.
