I wanted to personally reach out to you concerning the latest actions taken against my
organization, I feel there has been a significant breakdown in communication and
partnership efforts between our organizations.
Over the course of the past several days, my organization has been inundated with calls,
emails and visits from risk, compliance, legal and relationship contacts stating that we are
in violation of the existing agreement. My organization has spent countless hours
providing organizational charts, ownership percentages, stock option allocations, corporate
restructure timelines, transaction counts. operational workflows and much, much more.
All that aside, what I have found to be most concerning is that it appears First Data is
now unwilling to board any new merchants under the Shift4 program.
To be clear. I feel there is a fundamental lack of understanding, and I accept full
responsibility for any and all miscommunication. I, in no way. intended to circumvent our
agreement or disrupt our partnership. While I understand that my actions may have led to
this, I am finding it extremely difficult to continue navigating this process without further
clarity.
I am requesting to sit down with you, face to face. to address any outstanding questions,
comments or concerns so we can put the current situation behind us and chart a mutually
agreeable path forward. I have absolutely no issue executing addendums, amendments,
or modifications to the existing agreement to better clarify specifics.
With that being said, our agreement is over 100 pages and my commitment to our
obligations, from my view, stand. I will further reiterate that I have no intention, nor am I
attempting. to compete with First Data. To the contrary. I view First Data as an integral
partner and have no intention of damaging our relationship.
