  11. I asked Mr. Shanahan via text message, “Should we get creative?” I further stated, "We could structure anything . . . merger w cash out . . . Go private ... Lots of ways so ftv [FTV Capital] and the team win." I also stated, "Our gateway is the best next gen tech out there. It wld [would] give us great scale. But you know that:"

  12. In June 2017, First Data Merchant Services, LLC (“First Data”) acquired CardConnect.

  13. After the acquisition, CardConnect became a sales agent of First Data, with the ability to resell First Data’s payment processing services to CardConnect’s customers.

  14. In light of the acquisition, I had conversations with CardConnect representatives regarding a potential relationship between Shift4 and CardConnect whereby Shift4 (via its gateway) could provide the same services as CardConnect (via its gateway). These discussions concerned Shift4’s potential acquisition of CardConnect assets and customer relationships from First Data. Ultimately, First Data decided not to enter into that transaction.
