As a follow up to the multiple conversations we have had this, please see the key points below that we need to memorialize outside of
the Card Connect reseller agreement. Without these terms, we do not have a deal - as indicated during multiple conversations.
     No volume or merchant count minimums before Jan 1 2019.
     We will move merchants we acquire from outside gateways to Card Connect.
     Merchant attrition is defined as merchants moved from a legacy gateway that do not end up on Card Connect. We will not
    be responsible for any attrition of merchants from non-Shift4 gateways, i.e, Merchant Link.
     We will not be responsible for any merchant attrition of merchants that cannot be supported by Card Connect, ie. Hotel
    Property Management Systems and enterprise e-commerce platforms. My recollection is you said there would be no issue
    supporting any of these merchantsso this bullet would only protect us in a non-performance situation on your part.

Jeff,

    Great spending time with you last night. I am optimistic about our future together. As
promised, please see the summary of action items from our meeting below.
    1. Minimum Commitments - The current reseller agreement has volume and merchant
count minimums. As a result of the numerous challenges integrating with Card Connect,
Shift4 was unable to begin boarding merchants until late Q2-18. As we discussed, it is not
possible for Shift4 to meet those minimums at this time. We request the minimums be removed
from the agreement, via amendment, at this time.
    2. Support Resources - As we discussed, Card Connect should assign 2-3 dedicated
support resources to Shift4 in order to improve the merchant boarding and support experience.
From our perspective, this is a reasonable request considering 95%+ of the merchants
submitted by Shift4 to Card Connect are boarded as a result of the efforts of our 170+
employees, 2,500+ reseller network and are net new wins to Card Connect.
    3. Revenue Share - As we discussed, Shift4 is entitled to a more favorable revenue share
considering the size of the merchants we are bringing to Card Connect, the minimal support
burden and that the merchants are a result of our considerable sales and marketing efforts.
Jeff, please execute on your idea in terms of delivering a better rev share to us at this time.
    4.   Stable Leadership - As we also discussed, Card Connect should deliver consistent
leadership to Shift4. We cannot endure leadership turnover every ~6 months. We have had
great experiences working: with Angelo, Jon Siegel, Rob Speers and even going back to your
predecessor Patrcik [sic] Farley. We need a consistent and experienced Card Connect contact.
    5. Side Letter Agreement - From the onset of our relationship, we have had a side letter in
place that covered a number of items including exceptions to minimum commitments,
merchants that would not be counted towards minimum commitments, protection from VAR
cancellations, etc. This side letter was, to our surprise, terminated in the last ~60 days without
any discussion between our organizations. Please reinstate this side letter at this time and send
an executed copy back to us.
    6. SkyTab - Please provide Shift4 with an update on the status of the SkyTab (Verifone
Carbon) solution, the expected delivery timeline and how it should be positioned with customers.
    7. EMV Roadmap - Shift4 has a lot of various EMV certifications that have been
completed over many years with a variety of processors. Can you please share the
recommended/certified EMV devices with each major processor so we can share this
internally.
    8. Account Updates - Please be mindful on the timing of account updates. We have
experienced some challenges in this area.
    9. Pricing - As we also discussed, Card Connect should deliver fair and consistent pricing
to Shift4 merchants. We have experienced a wide variety of pricing, and declines, for many
similar merchants.
 10. Meeting Cadence - We should schedule a consistent meeting cadence for Shift4 and
Card Connect resources in order to review performance and address open items. At a
minimum, this should be a monthly meeting but it might make sense to begin bi-weekly.
