INDEPENDENT SALES AGENT AGREEMENT This Independent Sales Agent Agreement ("Agreement") is entered into as of 8/1/2014
By and Between CardConnect, LLC ("CardConnect"), a Delaware limited liability company, having its principal place of business at 1000 Continental Drive, Suite 300, King of Prussia, PA 19406 And Lighthouse Network, LLC, ("Agent"), a Limited Liability Company, having its principal place of business at 6060 Center Drive, 10th Floor, Los Angeles, CA 90045
(CardConnect and Agent may be referred to herein individually as a "Party," and collectively as the "Parties".) In consideration of the mutual promises contained in this Agreement, and intending to be legally bound, the parties agree as follows:
Definitions. 1.1. "Affiliate" means, with respect to any entity, any other entity directly or indirectly controlling, controlled by or under common control with such entity. As used in this definition, the term "control" means the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of a person, whether through ownership of voting securities, by contract or otherwise. 1.2. "Applicable Laws" means all federal, state and local laws, rules, regulations and ordinances applicable to a Party's obligations under this Agreement. 1.3. "Business Day(s)" means any day, other than a Saturday, Sunday or national holiday, on which financial institutions in King of Prussia, Pennsylvania are open for business. 1.4. "Card" means any card or other device affiliated with a Payment Network and includes, without limitation, credit, debit, charge, stored value (including, without limitation, payroll, gift and loyalty) and smart cards. 1.5 "Cardholder" means an individual or entity to whom a Card is issued, or who is otherwise authorized to use a Card, for the purpose of obtaining money, goods or services on the credit of the issuer of the Card. 1.6. "Effective Date" means the date first written above. 1.7 "Marks" means service marks, trademarks and trade names. 1.8. "Merchant" means any person or entity that enters into a Merchant Agreement that has been accepted and approved by CardConnect and Processor. 1.9. "Merchant Agreement" means the Card acceptance agreement by and between CardConnect and/or Processor and Merchant for, among other things, the processing of transactions, including the associated application, and any ancillary agreements associated therewith related to the processing services offered by CardConnect. 1.10. "Payment Network" means VISA U.S.A., Inc., VISA International, Inc., MasterCard Worldwide, Discover Financial Services, LLC, American Express Travel Related Services Company, Inc. and other similar organizations which provide for the processing and/or settlement of credit card or debit card transactions 1.11. "Payment Network Rules" means all applicable rules, regulations, bylaws and operating guidelines issued or amended from time to time by the Payment Networks. 1.12. "PCI Standards" means all rules, regulations, standards or guidelines adopted or required by the Payment Networks, including, without limitation, the Payment Card Industry Data Security Standards ("PCI-DSS"), Visa's Cardholder Information Security Program ("CISP"), Discover's Information Security and Compliance Program ("DISC"), MasterCard's Site Data Protection Program ("SDP"), PA-DSS and American Express's Data Security Operating Policy ("DSOP").
Appointment; Obligations of Agent. 2.1. Appointment. CardConnect hereby appoints Agent, and Agent hereby accepts such appointment, as CardConnect's non-exclusive independent sales agent to solicit, but not enter into, Merchant Agreements with Merchants in accordance with the terms of this Agreement. Agent shall submit all prospective Merchants to CardConnect for approval. Agent shall not solicit, or submit to CardConnect, any prospective Merchant that is listed on the MATCH file or is otherwise deemed a prohibited merchant by CardConnect or Processor. CardConnect shall have the right, in its sole discretion, whether to enter into, to accept, to maintain, to renew, to extend or to decline to enter into, to accept, to maintain, to renew or to extend a Merchant Agreement with any prospective or existing Merchant. CardConnect and Processor may immediately terminate any Merchant Agreement in accordance with its terms. Upon CardConnect's acceptance of a Merchant Agreement with respect to a Merchant, Agent shall use reasonable commercial good faith efforts to service and support such Merchant and assist CardConnect in maintaining a good business relationship between CardConnect and Merchant. Agent shall not establish any fees or charges payable by a Merchant in connection with a Merchant Agreement without the express written consent of CardConnect. 2.2. Prohibited Merchants. Agent shall not solicit any Merchant prohibited by CardConnect, as communicated to Agent from time to time. 2.3. Agent Referrals. Agent agrees that all referrals made by Agent to CardConnect of persons or entities inquiring about the services offered by CardConnect ("Third Party Referrals") shall be governed by the terms and conditions of this Agreement, and any compensation paid by CardConnect to Agent with respect to such Third Party Referrals shall be in accordance with the terms set forth in this Agreement. 2.4. Agent's Other Activities. Nothing in this Agreement shall prohibit Agent from entering into agreements with other companies to solicit applications for merchant processing services; provided that Agent shall not solicit applications for merchant processing services from Merchants or engage in any conduct that would otherwise violate this Agreement.
Obligations of CardConnect. Pursuant to the terms and conditions of this Agreement, CardConnect shall: (a) enter into Merchant Agreements with Merchants; (b) provide Merchant Agreements to Agent as needed; (c) accept and process Merchant transactions in accordance with the terms and conditions of the applicable Merchant Agreements; (d) maintain a customer service help desk for Merchants to assist them with questions or in resolving problems with respect to the transactions processed by CardConnect, and (e) pay to Agent compensation in accordance with, and subject to, the terms of the Compensation Schedule attached hereto and incorporated herein as Exhibit A (the "Compensation Schedule").
Term and Termination. 8.1. Term. This Agreement shall be effective as of the Effective Date and shall continue for a period of three (3) years from the Effective Date (the "Initial Term"). Thereafter, this Agreement shall be automatically renewed for successive one (1) year terms (each, a "Renewal Term," and collectively with the Initial Term, the "Term"), unless either party provides written notice to the other party of its intention not to renew the Term at least sixty (60) days prior to the expiration of the then-current Term. 8.2. Termination for Cause. Either Party may terminate this Agreement immediately upon the occurrence of any of the following events: (a) The other Party breaches any provision of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice of such breach from the non-breaching Party, which notice shall describe in reasonable detail the nature of such breach;
EXHIBIT A COMPENSATION SCHEDULE CardConnect shall pay Agent compensation in accordance with this Compensation Schedule.
Agent shall receive a monthly referral payment for each Merchant ("Referral Payment") equal to the greater of (i) [***] ("Per Account Fee") of Gross Revenue (as defined in Section 4(a) below); or (ii) twenty-five dollars ($25.00) per active Merchant account, in either, case, less any chargebacks, credits, fees or other amounts (the "Required Deductions") owed by any such Merchant to CardConnect, including, without limitation, early termination fees.
No Referral Payments shall be made by CardConnect to Agent (a) for Merchants that are deemed excluded from the program; (b) CardConnect is not receiving payments from such Merchant; (c) after termination of this Agreement for any reason; provided, however, that in the event this Agreement is terminated by Agent pursuant to Section 8.2 or by CardConnect, in accordance with this Agreement, other than pursuant to Section 8.2, Agent shall continue to receive monthly Referral Payments for active Merchant accounts referred to CardConnect by Agent during the Term for the period.

As you know, Lighthouse Networks ("LHN") has had an Independent Sales Agent Agreement with CardConnect ("CC") since August of 2014. CardConnect has been providing LHN (and now Shift4 Payments "S4P") with preferential pricing in addition to a preferred revenue share arrangement. This includes approximately [REDACTED] basis points of margin above our standard pricing terms. In addition to the preferred pricing, CardConnect also made a significant investment to integrate EMV capabilities for Shift4's gateway to the TSYS platform. Page 2. Despite our efforts, we have experienced minimal return on this investment. While we appreciate the continued, positive dialog and remain hopeful of a turnaround, there are factors that are forcing us to re-evaluate this relationship. Since the acquisition of LHN, Shift4 Payments has: 1) Directly contracted with First Data 2) Shift4 is listed as a registered agent of Wells Fargo Bank & Elavon (via FD) On the most recent calls with Shift4, there have been conversations about CardConnect's preferred pricing commitment.
