Shift4Partner Bonus

The Bonus Policy for Merchant Sales ("Bonus Policy") outlines how Shift4 Payments ("Shift4") compensates its Merchant Sales employees for closing qualified merchants. Shift4 compensates on a "per MID" (Merchant ID) basis. As long as a Merchant Sales employee is employed by Shift4 on the date that the bonus is to be paid, Shift4 will pay the Merchant Sales, employee a one-time bonus between $250 and $6,000 for cach merchant boarded to the First Data platform (or $100 per merchant boarded to various other platforms) depending on how many merchants the Merchant Sales employee boards in total during his or her tenure with Shift4.

Only MIDs that go live during the Merchant Sales employee's tenure at Shift4 count towards that employee's total number of MIDs.

If the Merchant Sales employee reaches a new level in a given month, then that employee will receive the sum of (a) the new bonus level amount less (b) the sum of all amounts previously paid.

Example:

Page 2 - The Merchant Sales employee boards his 251st MID in, for instance, January. The Merchant Sales employee is thus entitled to receive a bonus of $6,000 for that MID, even if the next MID is not boarded for several months of even several years later. - Assume further that of the 251 MIDs: (a) 15 MIDs were boarded a $250, (b) 15 MIDs were boarded at $500, (c) 20 MIDs were boarded at $750, (d) 25 MIDs were boarded at $1,000, (e) 25 MIDS were boarded at $1,500 and (f) 151 MIDs were boarded at $3,000, then the total amount of bonus amounts paid through the 250th MID is $549,250, Calculated as follows: 15($250) + 15($500) + 20($750) + 25($1,000) +25($1,500) + 151($3,000) = $542,250. Given the new level achieved for the 251 MID is $6,000 per MID, when the 251 MIDs are combined, then the Merchant Sales employee is entitled to $1,506,00 (calculated as 251 * $6.00 ). To get to the net bonus due, $1,506,00 less the sum of the amounts already paid ($542,250) must be deducted which is $963.750 - The bonus is thus $963.750. - For MIDs submitted where the "Buyout is Greater Than 20X, that MID will not qualify towards the bonus matrix.

Additional Important Notes: 1. Each MID must maintain an average processing volume of at least $100 per month, or $1,200 per year , for the first 12 months. 2. Payments of bonuses are paid on the next closest pay period, approximately the 125th of each month. 3. Upon a Merchant Sales employee separating from Shift4, he or she will no longer qualify for any previously-earned bonuses. 4. Shift4, reserves the right to modify or eliminate this policy at any time.
