In addition, as you know, Shift4 is currently undertaking our annual audit. I just reviewed the draft agreement that I received today, and based on the current draft I don?t believe that it is going to meet Shift4?s accounting standards.

Please see the attached redline. The main issues are as follows: 1. Section 6. Please delete the second sentence, as this should not be part of this mutual termination discussion. 2. Section 7.2. We need to insert the word ?materially??, as there may be times that we are delayed in the transition off of Datawire. We will use commercially reasonable efforts to comply. 3. Section 11.7. Please remove in its entirety. Again, we mutually agreed to terminate the MPSA, and therefore this is inapplicable.
