I agree with Mike on all of this.. It is all about controlling the narrative, and being proactive in providing requested documentation.

Also, I have to assume that Card Connect is monitoring all social media postings by our employees (which is why it would probably be good if ALL employees who have posted anything about Card Connect or First Data in the last 2 years take it down).

I also do not think directing employees to use LAVA is a good idea at this time (if at all).

I'm at the tail end of the previously mentioned family vacation, but I gave the draft complaint a quick read earlier this morning. Based purely on a quick review and assessing the main allegations, here are some of my thoughts:

  1. Let's be as proactive as possible with the information gathering, and err heavily on the side of being prepared to voluntarily turn in more, rather than less. Everything referenced below assumes that we have already issued a comprehensive litigation hold notice to all impacted individuals, and that we have done so in a traceable, verifiable manner.

  2. The suggestion in the action regarding our allegedly having knowledge of an impending acquisition of Card Connect is a precarious one, and one that we need to give particularly intense scrutiny. I have my doubts that they will find much in discovery, but it goes without saying that we should thoroughly search all records, and be prepared to quickly disclose any instances where we mentioned, referenced, or made allusion to an impending M&A transaction involving the Plaintiff.

  3. Given the recent acquisition of First Data by Fiserv, I am extremely concerned about the potential implications of having continued to do business with First Data after (a.) announcing our purported acquisition, and (b.) filing a litigation against their customer. Our relationship with First Data, and its new parent company is of high strategic and economic consequence, and I would like to develop a clear risk mitigation plan with legal as it relates to the ongoing First Data relationship.

  4. I don't know how many other current employees, besides Jared, had any significant contact with the Plaintiff pre-acquisition, but it would be highly advisible that any and all such employees be immediately made aware of the severe ramifications of their actions.

  5. I believe that the narrative we take here will be extremely critical. I think that the notion of any company threatening or intimidating their vendor base is one that requires significant tact. I would ask for outside counsel to review and fact check any written or verbal external narrative on this.

  6. Immediately assess when and how we can settle this. -MI
