Dear all,
We have just found out of a possible severe sanctions violation by Finaro.
According to Finaro's agreement with Visa and Mastercard, they are not supposed to provide acquiring services to merchants located in countries that are under OFAC sanctions.
It turns out that Finaro is providing acquiring services to the following merchants:
- Rosemont Intl Ltd., an offshore company held by a Cypriot trust, whose beneficiary is a Russian national named Aleksandr Savelev, connected to a Russian group called "ROST", which is involved in road and infrastructure construction. The client is acquiring for 13 betting websites.
This activity rings all possible alarm bells: Russian oligarch, payments to betting websites in very high volumes ( десятки of millions of Euros per web site), all done through an offshore company whichconceals the beneficiary owner!

FYI - I spoke with the CEO of the bank and he is pissed. He wanted to call the regulators on us but since we just did a deal he said he would give us a few days to clear up the issue.
They are aware of our structure with the parent at the top and subs below.

I think we need to circle up tomorrow, but I am not sure I agree with your assessment. I think the compliance officer and CEO are taking a CYA approach to all of this in terms of having something in writing and are not doing anything here that hasn’t been disclosed, discussed and that they aren’t fully aware of. They also are taking on business that might cause greater scrutiny, which is why we need to run this to ground and review.
More to come guys.

This is bad. How long has this been going on??
I don't know who this "beneficiary" is, but he sounds dangerous.
The account is for a Cypriot trust.
Also, the bank has no business doing business w/us if they believe that we are violating the OFAC list.

From: Jared Isaacman -Text messages with J.D. Oder
Jared Isaacman 4/29/20,10:24 PM EDT It's a disaster Can't leave for space with all this shit
J.D. Oder, 5/3/2020, 2:32 PM Yes. But we have to make changes It's that simple
Jared Isaacman, 5/3/2020, 2:36 PM I can make changes but I have to do it on my terms.
Jared Isaacman, 5/6/2020, 4:25PM Ok. So I make changes to satisfy my concerns in terms of exposure and you change comp. F-that.
J.D. Oder, 5/6/20, 4:27PM The changes in comp are necessary for us to go public. Everyone has had their comp changed For clarity and legal purposes
Key Observations and Context Finaro Sanctions Issue: Exhibits 253 and 256 clearly demonstrate the concern raised by Bank Hapoalim regarding Finaro's potential violation of OFAC sanctions. The emails highlight the acquiring services provided to Rosemont Intl Ltd., linked to a Russian national and betting websites, triggering alarm bells due to the high-risk nature and potential circumvention of sanctions. Urgency and Seriousness: The tone of the emails, marked "URGENT," and the direct communication from the bank's CEO to Isaac Saltzman emphasize the gravity of the situation. The bank's threat to report to regulators adds to the pressure. Internal Communication: Exhibit 256 reveals internal discussions at Shift4, with J.D. Oder expressing concern ("This is bad") and Isaac Saltzman relaying the bank CEO's anger. Nate Hirshberg's response suggests a potential difference of opinion regarding the severity and prior awareness of the issue. Text Messages: Exhibit 269 shows I. Saltzman, expressing frustration and describing a disaster. it provides significant insight toward emotion, but the comp topic is unrelated here, but shows it is apart of the exhibit.
I have provided the exhibits that will fill the full token limit available.
