"Q: Okay. And after that conversation, at some point, you provided Shift4 with an exclusive, correct. A: I did because they were very insistenct. Q: Okay A: And I also -- Q: How long did that, oh, continue. A: No, and I though it was in our best interest at the time. Q: Okay. And how how long did that exclusivity period last? A: That lasted, the first one was, uhhh, 45 days I think Q: Okay and then waht A: And then they were, still had trouble with the valuation, then we granted I think another two weeks. And then I refused to grant anymore because I didn't I mean it was I wasn't gonna drag it out for another two weeks if they couldn't they weren't getting to the number.

Key point to note (Page 106, 107 of document 36-14):

  • "Q: Okay. And what is the Princess yacht? Tell me about it. A: It's a boat."
  • "Q: Okay. Do you know the model of the boat offhand? A: It's an S60 Princess yacht."
  • "Q: Okay. And when did you buy that boat?" "That was a very expensive part of the process. So I -- I owned a smaller boat. I was trying to reduce my expenses. I sold that boat thinking this transaction was going to happen, used that proceeds [sic] from that and did the down payment of this. I think it was in April -- March or April, somewhere in there."
  • "Q: Okay. Did you ever discuss any other offer or any of your communications with Merchant Link with respect to the Lighthouse transaction or any other potential acquirers with Mr. Isaacman? A: No."
