As follow up Orly called me and updated as follows:
1. In the last two days there were intensive discussions + calls + meetings with BAFIN.
2. It was cleared out that the entire issue popped up since we ourselves approached BAFIN for approval of the obvious fact that CardConnect is now controlled by a
new shareholder (i.e. Shift4).
3. In normal circumstances, we would do it after closing, but since the closing took place after 1.1.2018 and due to the change in law such process must
(!!!???!!!) be done BEFORE closing.
4. BAFIN requested some documents + answers to some questions. It all has been sent to BAFIN by COB yesterday.
5. The CEO of CardConnect is Mr. Angelo Grecco and together with Orly they manage to tune down BAFIN and convince them that it is a formal process of change of
control.
As per Orly, Angelo is on top of the situation and she is 99.9% sure that it will be ok.
BAFIN did promise to make it fast track.
We will update on any developments.

GmbH, uns für die verspätete Einreichung des Schreibens zur Änderung der Inhaberverhältnisse,
gemäß § 2c ZAG, entschuldigen.
Zum besseren Verständnis der neuen Eigentümer- und Unternehmensstruktur ab dem 09.11.2017,
stellen wir Ihnen nachfolgend, die von Ihnen angefragten Informationen zur Verfügung:

Die CardProcess GmbH ist ein durch die Bundesanstalt für Finanzdienstleistungsaufsicht (BaFin),
reguliertes Zahlungsinstitut mit einer Erlaubnis zur Erbringung von Acquiring-
und Finanztransfergeschäften, mit Sitz in Frankfurt am Main.
Im Rahmen der Erbringung des Acquiringgeschäfts, gehen wir, im Auftrag und für Rechnung unserer
Vertragspartner (Händler, Acquirer, Netzbetreiber), unmittelbare Vertragsbeziehungen zu den
Kreditkartenorganisationen (VISA, MasterCard, JCB, CUP, Discover/Diners) ein.
Das von uns betriebene Finanztransfergeschäft umfasst im Wesentlichen, die technische
Zahlungsabwicklung von E-Geld-Produkten (paysafecard) und Online Bezahlverfahren
(Giropay, SOFORT-Überweisung) und die damit verbundenen Geldtransfers, in Form von
Auszahlungen an die jeweiligen Vertragspartner (Händler, Acquirer, Netzbetreiber).
Unsere Vertriebsaktivitäten erfolgen ausschließlich über indirekte Vertriebswege und
Vertriebspartnerschaften.
Die Auszahlung der Händlererlöse an unsere Acquiringkunden, erfolgt auf Basis der mit den
Kreditkartenorganisationen, bestehenden Lizenzen und Vereinbarungen. Der überwiegende Teil
unseres Acquiringvolumens, wird durch unsere Muttergesellschaft, die First Data GmbH,
prozessiert und abgewickelt.
Unsere Vertriebspartner:

4. Angaben zu den Personen, die die Geschäfte der CardProcess GmbH tatsächlich leiten:

Für das Jahr 2018 und 2019 ist keine strategische Neuausrichtung, der in Punkt 3. beschriebenen
Geschäftsaktivitäten der CardProcess GmbH, geplant.
7. Business Plan (detailliert und erlautert) mit strategischer Ausrichtung, GuV-Planung fiir die kommenden drei Jahre:
Business Plan kurzfristig (2018):
In Q1/2018 ist keine strategische Neuausrichtung geplant. Das bestehende Geschäftsmodell (siehe
Punkt 3.) wird im Jahr 2018 weitergeführt.
Business Plan mittelfristig (2018 - 2019):
Die CardProcess GmbH plant die strategische Erweiterung des Produktportfolios, im Bereich Issuing
(Debit- und Prepaidkarten), im Rahmen der bestehenden Partnerschaft mit der Wirecard Bank AG. Im
Zuge der strategischen Erweiterung und der damit verbundenen, zusätzlichen Prozessierung von
Transaktionen auf eigenen Systemen, plant die CardProcess GmbH, die bestehende Auslagerung von
Acquiring-Dienstleistungen auf die First Data GmbH, in 2019, zu beenden.

den europäischen Acquiring- und Payment Markt ermöglichen. Aktuell erzielt die Shift4 Payments,
ausschliesslich Umsätze im US- und kanadischen Markt und kann in anderen Märkten
nicht tätig werden. Durch die Akquisition eines regulierten Instituts (CardProcess), kann
die Shift 4 Payments, zukünftig auch in Europa aktiv werden.
10. Maßnahmen zur Einhaltung von Geldwäschevorschriften:
