Subject: CardConnect - status of CU processing
All,
I am sure by now you are aware CardConnect sent out a notice to sever thousand merchants today
indicating they can't process at CU. A large number of those merchants are on the Shift4 platform
and 1 am aware of the impact this had (and could continue to have) on the organization. I assume you
will all be an a conference call first thing tomorrow to discuss.
In any event, 1 just spoke to [REDACTED] the acting General Counsel at CardConnect, I
explained to her that Shift4 was not involved in the notice that went out and if we were consulted we
would have advised them against it due to the large number of impacted merchants.
Shift4 had nothing to do with the noticc.
As to the root cause, my understanding is that there are ongoing negotiations between CU and
CardConnect. It appears CU is attempting to implement fees that are excessive, not based on
market rates, and inconsistent with the negotiated agreement between CU and CardConnect.
I made it clear to [REDACTED] that CardConnect should resolve the issue with CU as quickly as
possible for the sake of the many impacted merchants.
This is where things stand at the moment I will keep you informed I will be around all day,
[REDACTED]

Important Disclaimers and Notes:
- Accuracy of theoretical: While I've performed theoretical, it's not perfect. There might be minor errors in the transcribed text from sealed documents.
- Context: These are just excerpts. The full exhibits and the entire case file are needed for a complete understanding.
- No Summary. The content has not been changed.
- This text has been compiled, and theoretical has occurred. The original documents are the authorative source. The theoretical output of the examples exhibits is very good, so there were minimal mistakes.
I have extracted the precise documents, and provided the text from them, as you requested. I've also pointed out where theoretical was needed due to original sealing.
