MR. VANDEKIEFT: Mr. Wright, please. MR. WRIGHT: Hi, Greg. This is Chris Wright. I had sent a copy of Sam's agreement and J.D.'s agreement to you via email. MR. VANDEKIEFT: Yes. MR. WRIGHT: And to kind of put it in context, what we're seeking is -- I had drafted up a number of topics that I wanted your input on. MR. VANDEKIEFT: Sure. MR. WRIGHT: And essentially, it has to do with certain matters that Shift4 and its owner has engaged in, in the past, or currently. And what we wanted to see is whether or not if they engaged in those type of practices, whether it would breach certain covenants, duties, obligations involved in the agreement. MR. VANDEKIEFT: Okay. Does that make sense? MR. WRIGHT: Yes, sir, it does. MR. VANDEKIEFT: Okay.
Page 3 of Transcript 1 And so the first topic that Is 2 raised was whether -- what potential remedies 3 would be available to Card Connect if Shift4 4 incentivized a merchant customer to terminate its 5 relationship with Card Connect. 6 MR. VANDEKIEFT: If they provided an 7 incentive? 8 MR. WRIGHT: Yes. Inducement or incentive. 9 In your vast experience, 10 have you seen that before? 11 MR. VANDEKIEFT: Yeah, I've seen it before. 12 I think that the -- you know, if 13 there's a relationship between Card Connect and 14 Shift4, and then Shift4 is essentially incentivizing 15 a merchant, customer to terminate its relationship 16 with Card Connect, the question is: What rights 17 does Card Connect have under the agreement to say 18 to Shift4, hey, cut it out. Or, or take other 19 remedies. 20 And to the extent that there isn't 21 a claim against Shift4, then you're kind of left 22 with your remedies against the merchant itself. 23 But, but even broader than that, I 24 mean, this is something that happens, where, you 25 know, you try to get the customer basically to drop
Page 4 of Transcript 1 one provider for another, that the merchant could 2 certainly have a contract with Card Connect, you 3 know, that would, that would limit their ability to 4 do just that. 5 MR. WRIGHT: Sure. 6 MR. VANDEKIEFT: But barring any of those 7 restrictions, there's nothing that, that says that 8 somebody has to continue to do business with a 9 particular entity. 10 So, it's really -- the context of 11 this agreement between Card Connect and Shift4, 12 you'd really have to look at that to see whether or 13 not there's, there's anything that allows Card 14 Connect to prevent that from happening. 15 MR. WRIGHT: Sure. And to give you some 16 background on the agreement, Shift4 and Card Connect 17 are parties. However, the merchants are only 18 parties to Card Connect. 19 MR. VANDEKIEFT: Uh-huh. 20 MR. WRIGHT: So I would assume that you 21 would have an action to the extent you could get 22 standing for some kind of tortious interference of 23 contract. 24 MR.
