1.  At this point, the path to victory on the litigation is unclear and frankly I think Shift4 has a stronger position
    than we do. While I agree we don't want to pay them the termination fees, I'm not optimistic that we will
    prevail in court.
2.  It is increasingly likely that Shift4 will begin charging the $1.55 gateway fee to all merchants, regardless of
    the outcome of the litigation or the acquisition by First Data. In my opinion, this is a very bad position for us
    to be in as it will certainly result in merchant attrition.
3.  We have many merchants that use Shift4 for EMV only processing and pay nothing for these services
    today. These merchants will be subject to the full $1.55 gateway costs as well as the EMV fees.
4.  We have several very large customers that will realize they are overpaying for EMV, as they are utilizing
    technology that Shift4 provided at no cost for many years. We should be concerned they will terminate
    given the pricing increase.
5.  In addition to the $1.55 gateway fee, Shift4 has dramatically increased the cost of EMV, which will have an
    additional significant financial impact on us.
6.  It is my understanding Scott Miller is on a multi-year
     contract.
7.  The Bolt terminal has been released, however has significant issues that need to be resolved. The Bolt team
    has indicated they do not have bandwidth to address these defects in a timely manner. In addition, Bolt does
    not currently support Amex D-PAS or Discover D-PAS, which will limit its usefulness.
8.  I think the acquisition of Shift4 will be approved by Scott Miller as part of the settlement negotiations.

Given these issues, I think we should focus on negotiating the best settlement possible. I would like to see an
agreement where

1.  All merchants, including EMV only merchants, are exempt from the $1.55 gateway fee "in perpetuity", so
    that no future negotiations are required.
2.  We agree to utilize Bolt for all new EMV certifications.
3.  We agree not to directly interface with any payment devices.
4.  We obtain a modest discount to offset the recent EMV price increase, so that we can price EMV at $25 per
    device going forward.
5.  Shift4 supports a 12-month transition period for existing merchants on non-Bolt devices, so merchants can
    be upgraded to Bolt without significant attrition.
6.  We agree to pay a one-time fee in addition to the above.

       Shift4 filed a lawsuit against Card Connect but Card Connect dispute the claims within the lawsuit
       Card Connect greatly value their relationship with Shift 4 and appreciate all of the support Shift4 have
        given them
       As is required in litigation, Card Connect have filed counterclaims against Shift4, but continue to look for
        opportunities to resolve the issues between the companies
