Jared,

It was good speaking with you on Friday, and I appreciate you taking my call. As promised, I investigated the contract situation with CardConnect on your behalf over
the weekend. I can confirm, as you and JR discussed, there is an existing CardConnect reseller agreement which we inherited as part of the acquisition. While the team
knew it predated the formal acquisition, they did not fully grasp its implications in terms of the overall pricing economics between Shift4 and CardConnect, nor our ability
to terminate.

I can also confirm that the calls which were made by the CardConnect sales team have caused a great deal of disruption within our organization and with the
relationship with you, not to mention, as JR aptly points out, potentially breaching the confidentiality provisions of the reseller agreement. I am very sorry for this
avoidable situation.

Per your suggestion, and to help me better understand how deep the relationship goes, I would like to review the historical referral history between the two
organizations (going back as far as you deem necessary) and will work with John and his team, as well as my legal group, to determine what if any additional
arrangements may exist outside of the reseller agreement. I intend to act on your behalf, as my client, to better understand the implications, terms, benefits and
obligations of the existing agreement(s).

Once | fully understand our respective positions, | would welcome the opportunity to meet with you in person and discuss how best to resolve this matter.
