I, J. Darrell Mickler, declare as follows:

1. I am over the age of eighteen. The facts set forth in this Declaration are based on
my personal knowledge, and, if called as a witness, I could and would testify competently to
them.

2. I am the Chief Financial Officer of Shift4 Payments, LLC (Shift4). I have held that
position since January 2019. Prior to that, I spent nearly 20 years in investment banking focused
on the payment processing industry. Beginning in 2017, I served as an outside consultant to
Shift4 through my firm, First Annapolis Consulting (which was later acquired by Accenture).
I assisted Shift4 in the acquisition of three companies in the point-of-sale space MicroSale,
POS Partners, and Future POS.

3. I began my career in the merchant acquiring industry in 1999 at First Annapolis.

4. In my role as Chief Financial Officer, I am familiar with Shift4s contracts and
accounting records. I have knowledge of the payment processing industry. I have familiarity
with, and have reviewed, Shift4s Referral Agreement with Card Connect. I also have
familiarity with Card Connects payment processing services and pricing around the United
States.

5. I submit this declaration in support of Shift4s Opposition to Card Connects
Motion for Partial Summary Judgment on Its Breach of Contract Claim.

REFERRAL AGREEMENT
This Referral Agreement (the "Agreement") is entered into as of February 1, 2015 (the "Effective
Date") by and between CardConnect, LLC, a Delaware limited liability company with offices at 1000
Continental Drive, Suite 300, King of Prussia, PA 19406 ("CardConnect"), and Shift4 Corporation, a
Nevada corporation with offices at 1491 Center Crossing Road, Las Vegas, Nevada 89144
("Referral Partner").
WHEREAS, CardConnect provides certain credit and debit card processing and related services to
merchants;
WHEREAS, Referral Partner is in the business of, among other things, providing point of sale
solutions to merchants in various industries, including, without limitation, the restaurant and
hospitality industry;
WHEREAS, Referral Partner desires to refer merchant customers ("Merchants") to CardConnect for
credit and debit card processing and related services ("Processing Services"); and
WHEREAS, CardConnect desires to accept such referrals and provide the Processing Services
described herein.
NOW, THEREFORE, in consideration of the foregoing and the mutual covenants and agreements
contained herein, the parties agree as follows:
1. Referral of Merchants. Referral Partner agrees to use commercially reasonable efforts to
refer Merchants to CardConnect for Processing Services during the Term (as defined
below). CardConnect shall have the right, in its sole discretion, to accept or reject any
Merchant referred by Referral Partner.
2. Processing Services. CardConnect shall provide the Processing Services to the Merchants
accepted by CardConnect pursuant to a merchant processing agreement between
CardConnect and the applicable Merchant (each, a "Merchant Agreement").
3. Compensation. In consideration for the referral of Merchants by Referral Partner,
CardConnect shall pay Referral Partner a referral fee (the "Referral Fee") as set forth on
Schedule A attached hereto. The Referral Fee shall be payable within thirty (30) days after
the end of each calendar month during the Term.
4. Term and Termination.
(a) Term. The term of this Agreement shall commence on the Effective Date and
continue for a period of three (3) years (the "Initial Term"). Thereafter, this Agreement
shall automatically renew for successive one (1) year periods (each, a "Renewal
Term," and collectively with the Initial Term, the "Term") unless either party provides
written notice of non-renewal at least ninety (90) days prior to the expiration of the
then-current Term.
(b) Termination for Cause. Either party may terminate this Agreement immediately
upon written notice to the other party in the event of a material breach of this
Agreement by the other party, which breach remains uncured for a period of thirty
(30) days following written notice thereof.
(c) Effect of Termination. Upon termination of this Agreement for any reason: (i)
CardConnect shall continue to pay Referral Partner the Referral Fee for all Merchants
accepted by CardConnect prior to the date of termination for so long as such
Merchants continue to receive Processing Services from CardConnect; and (ii) each
party shall return or destroy all Confidential Information (as defined below) of the
other party in its possession.
5. Confidentiality.
(a) Definition. "Confidential Information" means any non-public information disclosed
by either party to the other party, either directly or indirectly, in writing, orally, or by
inspection of tangible objects, which is designated as "Confidential," "Proprietary," or
some similar designation, or that should otherwise reasonably be considered
confidential given the nature of the information or the circumstances of disclosure.
Confidential Information shall include, without limitation, the terms of this Agreement,
information regarding Merchants, CardConnect's Processing Services, pricing, and
Referral Partner's point of sale solutions.
(b) Obligations. Each party agrees that it will: (i) hold in confidence and not disclose any
Confidential Information of the other party to any third party, except as expressly
permitted by this Agreement; (ii) use the Confidential Information of the other party
only for the purpose of fulfilling its obligations or exercising its rights under this
Agreement; and (iii) protect the Confidential Information of the other party with the
same degree of care that it uses to protect its own confidential information of a similar
nature, but in no event less than reasonable care.
(c) Exceptions. The obligations of confidentiality set forth in this Section 5 shall not
apply to any information that: (i) is or becomes generally available to the public other
than as a result of a disclosure by the receiving party; (ii) was rightfully in the receiving
party's possession prior to disclosure by the disclosing party; (iii) is independently
developed by the receiving party without use of or reference to the disclosing party's
Confidential Information; or (iv) is required to be disclosed by law, regulation, or court
order, provided that the receiving party promptly notifies the disclosing party of such
requirement and cooperates with the disclosing party in seeking a protective order or
other appropriate remedy.
6. Warranties; Disclaimer.
(a) Mutual Warranties. Each party represents and warran

that remains is typical contractual boiler plate clauses.

SCHEDULE A
REFERRAL FEE
1. Calculation of Referral Fee. The Referral Fee payable by CardConnect to Referral Partner
shall be calculated as follows:
(a) For each Merchant accepted by CardConnect, Referral Partner shall be entitled to
receive [REDACTED] of the Net Revenue (as defined below) generated by such
Merchant during each calendar month.
(b) "Net Revenue" shall mean the gross revenue received by CardConnect from a
Merchant for Processing Services, less all interchange fees, assessments, and other
fees and charges imposed by card associations, networks, or other third parties.
2. Payment of Referral Fee. The Referral Fee shall be payable within thirty (30) days after the
end of each calendar month. CardConnect shall provide Referral Partner with a monthly
statement setting forth the calculation of the Referral Fee. If the statement is not disputed in 30
days from receipt, it is deemed final.
3. Additional Provisions. The parties agree that the terms and conditions of this Referral
Agreement as they pertain to pricing and compensation are confidential and covered explicitly
by the confidentiality provisions of this Agreement,

AMENDMENT TO REFERRAL AGREEMENT
This Amendment ("Amendment") to the Referral Agreement is entered into as of the 10th day of august, 2016 ("Amendment Effective Date"), by and between CardConnect, LLC ("CardConnect") and Shift4 Corporation ("Referral Partner").
Reference is made to that certain Referral Agreement between CardConnect and Referral Partner, dated Feb. 1 2015 (the "Agreement"). Capitalized terms used in this Amendment without definition have the meanings given to them in the Agreement.
The parties agree to amend the agreement as follows:
1.  Section 4(a) of the agreement is deleted and replaced in its entirety with the following.

REFERRAL FEE

1.  Calculation of Referral Fee. The Referral Fee payable by CardConnect to Referral Partner
    shall be calculated as follows:

    (a) For each Merchant accepted by CardConnect, Referral Partner shall be entitled to
    receive a percentage of the Net Revenue (as defined below) generated by such
    Merchant during each calendar month as follows:

    i.  [REDACTED] of Net Revenue for Merchants that use both Referral
    Partner's point of sale solution, software or gateway AND CardConnect's
    Processing Services.

    ii. [REDACTED] of Net Revenue for Merchants that use only CardConnect's
    Processing services

    (b) "Net Revenue" shall mean the gross revenue received by CardConnect from a
    Merchant for Processing Services, less all interchange fees, assessments, and other
    fees and charges imposed by card associations, networks, or other third parties.

2.  Payment of Referral Fee. The Referral Fee shall be payable within thirty (30) days after the
    end of each calendar month. CardConnect shall provide Referral Partner with a monthly
    statement setting forth the calculation of the Referral Fee.
