Brad,

As I mentioned to Frank in NY last week, Shift4 is going to begin the process of unwinding CardConnect.
The attached letter was provided to CardConnect management this afternoon.

Our intention is to extract the CardConnect IP assets (primarily Bolt) and then use the remaining ~6
months of the year to transition the CardConnect sales teams and merchants over to Shift4. I do not
anticipate there will be much happening at CardConnect at the conclusion of 2020.

We operate similar to you in that we spend the 1st half of the year integrating acquisitions made in the 2nd
half of the prior year. We have 3 acquisitions closing this week and will likely make a few more ~ $100
million acquisitions later this year. As a result, we have a lot of near and long-term integration work to
keep us busy and CardConnect will consume the overwhelming majority of resources in the near term.

For many years, we have generated organic revenue growth rates of ~30% contrasted with multiple
compression (unlike virtually every other payment company) that is preventing us from accessing the
capital markets. CardConnect is the perfect target for us, we have wanted it for years, and we have put it
to great use in less than one week in order extract a ton of value from it.

I think we will likely achieve similar success from our other acquisitions and will look to complete more
by year-end that don't include 3rd party processor dependencies.

As a courtesy, I would be happy to meet some of your payments team on my next trip to Atlanta but
understand how busy everyone must be at this time.
