We have reviewed the CardConnect agreement. It does not appear to prevent us from allowing
CardConnect direct boarding access to the First Data platform.

   Shift4 will support CardConnect gateway transactions on all supported processors for all reseller partners
boarding through Shift4.

    Shift4 will only support CardConnect gateway transactions for CardConnect direct merchants and the
following processors:
o First Data Nashville
o TSYS

 Shift4 will continue to be compensated for all CardConnect gateway transactions on all processors.

 Shift4 will provide CardConnect with the necessary reporting to support revenue share reconciliation.

I am sorry. I didn't see your response.
There should not have been any change in existing reseller behavior as a result of the Shift4 Payments
announcement. Our intentions were consistent with how you explained it to me. I understood that the
merchants would stay and be supported if the reseller left. It appears clear that I failed to communicate that
correctly as at least 10 of support tickets indicate that is not the consistent message.
I am not sure how to best resolve this as the damage is done in tenns of the relationship with these resellers.
The economic impact to CardConnect should be manageable if addressed immediately as the impacted
resellers are small/mid-sized and we can provide incentives for a bulk portfolio sale to transition the
merchants.

I am open to other recommendations.
We also have to address the reseller relationship for merchants that port from CardConnect to Shift4
Payments. I believe we should be restricted from continuing to support a merchant through a reseller in this
scenario, but would like to confirm.

Yes. I have received many communications that indicate the policy change has been communicated and
enforced for those becoming Shift4 Payment resellers. I do not believe there have been any changes to the
behavior of existing resellers.
I have tried many times to get infonnation including any communication sent to resellers that would explicitly
state CardConnect boarded merchants will no longer be supported if a reseller becomes a Shift4 Payments
reseller, but have not received it. This matter requires immediate attention and clarification as it continues
to be enforced. Please let me how you would like to handle the situation.

As best as I can tell - we did not say existing merchants would "no longer be supported"
We did - and should - prohibit any new boarding of merchants through a reseller that is using us as their
merchant acquirer (and using Card Connect as the gateway)
